Conduct of the Project. Conduct of the Project. The Host Organisation must ensure:
(a) the Fellow maintains reasonable, up to date and accurate records regarding the conduct and conclusions of the Project;
(b) the Project is conducted in accordance with the Fellowship Application and any Extension; and
(c) if the Project requires approval by the Host Organisation’s ethics and/or biosafety committees (or equivalent), it provides evidence of the ethics and/or biosafety approval(s) to Snow Medical, and the Project does not commence until the required approvals are obtained.

Each Party must ensure that all necessary ethical, administrative and governmental approvals relating to the Project are in place before commencing the Project. There will be no financial obligation and no funding of any sort required from each Party for the conduct of the Project other than as set out in Item 6 and Item 9 of the Schedule. Each Party shall supply in a timely and diligent manner all funds, personnel, equipment, materials (including Background Materials) and other things necessary to fulfil its responsibilities under this Agreement for the Project. Any specific supplies to be provided by a Party are listed in Item 6 and Item 9 of the Schedule. In undertaking the Project, each Party must ensure that it obtains and/or uses Project Material and Background Material in accordance with all applicable laws, regulations, policies guidelines and codes of conduct (including any applicable ethical approvals).
Conduct of the Project. C.1. The Proposer agrees to do the work set out in the Proposal in accordance with good standards relevant to such undertakings, and shall expend funds received hereunder only in accordance with such Proposal and the requirements of this Agreement.
C.2. The Proposer agrees to comply with the Program Plan as set forth in Annex D.
C.3. The Proposer hereby appoints as Israel Project Manager and as U.S. Project Manager for the implementation of the project during the period of this Agreement and in accordance with the Program Plan.
C.4. The Proposer shall not make substantial transfers of funds from one budget item to another, change key personnel or their duties and responsibilities, or diminish their time allocated to the proposed work hereunder without prior written approval by the Foundation, which approval shall not be unreasonably withheld.
C.4.1. Should any key person be absent from work, or should such absence be expected for 90 days or more, or should there be any significant reduction in the total personnel force assigned to the project under the Proposal, the Proposer shall forthwith notify the Foundation.
Conduct of the Project. The Principal Applicant and the Institution jointly and severally warrant and undertake to the Government that:
(a) the Project shall be performed and completed in an impartial, timely and diligent manner;
(b) they, the Project Team and each of the Institution’s directors, employees, agents, contractors, consultants and other personnel engaged in the Project have all the required qualifications, resources, ability, experience, expertise, skills and capacity to perform the requisite duties and services as set out in this Agreement, in a professional manner and in accordance with the terms and conditions of this Agreement;
(c) they, the Project Team and each of the Institution’s directors, employees, agents, contractors, consultants and other personnel engaged in the Project shall devote to their obligations hereunder such of its time, attention and skill as may be necessary for the proper performance of those obligations;
(d) they shall comply with the reasonable requests of the Government and shall use their best endeavours to promote the interests of the Government in the performance of the Project;
(e) they shall carry out their duties and obligations in accordance with the Project and this Agreement and comply with the instructions and directions as the Government may give in relation to the Project from time to time;
(f) the use or possession of the Materials by the Government, the Principal Applicant or the Institution will not subject any of them to any claim for infringement of any Intellectual Property Rights of any person;
(g) all information supplied and statements and representations made by or on behalf of the Principal Applicant or the Institution in relation to this Agreement and the Project, and in the Application are true, accurate and complete;
(h) the Institution shall provide the facilities and services necessary for the efficient conduct of the Project;
(i) they shall comply with the Clearance Requirements;
(j) they shall exercise financial prudence in carrying out the Project;
(k) they shall notify the Government effectively and as early as possible of any event which is likely to prejudice the Project outcome (whether in a qualitative, quantitative or financial aspect) or the timely completion of the Project;
(l) they shall do nothing, or permit or cause anything to be done, which is likely to constitute or constitutes a breach of this Agreement;

Conduct of the Project. 7.1 The Primary Bidder shall ensure that Approved Schemes are implemented and conducted in a manner that is compliant with any applicable law.
7.2 The Primary Bidder shall use all reasonable endeavours to ensure that Approved Schemes are implemented and conducted in a manner so as to be consistent with the requirements on the Utility Regulator in law in relation to:
(a) State Aid; and
(b) Article 6 of the Directive.

Subject to the terms and conditions of this Agreement, each Party shall use Commercially Reasonable Efforts to perform the activities assigned to it under a Work Plan in accordance with the Specifications, timelines and budgets set forth therein, under the supervision of the JSC.
