Conformance with Specifications. (11/20) Contractor warrants that the Goods and Services shall operate in conformance with the Specifications per the provisions of a Manufacturer’s Warranty.

Conformance with Specifications. Broadridge and Ridge warrant to ▇▇▇▇▇▇ and Client that the Services, the Software and the Client Software, if any, will conform to their respective functional and technical specifications. Such specifications are subject to amendment by mutual agreement, from time to time, in which case the Services, Software and Client Software will conform to their respective modified functional and technical specifications; provided, however, that any such amendment shall not significantly impair or reduce the functionality of the Services or Client’s use of such Services. This warranty shall not extend to Software or Client Software to the extent that the failure to perform is caused by an alteration or modification by anyone other than Broadridge or Ridge or their agents or otherwise authorized by Broadridge or Ridge or their agents.

Conformance with Specifications. Integrator agrees to assure that its incorporation of the Product(s) into the Integrated Product will not cause the Product(s) to deviate from the Radio Frequency (RF) performance specifications thereof. This would include, but is not limited to, changing or modifying the antenna, antenna cable as specified in the product documentation, antenna connectors, or any hardware or software components of the Product as provided by QUALCOMM. QUALCOMM reserves the right to test the Integrated Product before operation, if deemed necessary, in QUALCOMM's laboratory or other designated laboratory, to ensure that the Integrated Product conforms to the performance specifications of the Product(s) and continues to meet Globalstar System certification.

Conformance with Specifications. If Achaogen reasonably determines that the Assay or any Work Products do not materially conform to the applicable Specifications or other requirements set forth in a Statement of Work, Ark promptly shall, subject to Section 2(a)(3), correct the nonconformance to Achaogen’s reasonable satisfaction, at no cost to Achaogen. In the event Achaogen requests any change to the Specification or other requirement for the Assay, Ark agrees to use commercially reasonable efforts to accept such request to the extent reasonable and practicable, provided that in no event shall Ark be obligated to incur any additional costs and expenses required for implementing any such change. Conformance with Specifications. Ark represents, warrants and covenants that the Work Products, including the Assay, shall conform to the applicable Specifications or other requirements set forth in a Statement of Work, and free of defects in material and workmanship.

Conformance with Specifications. The Products shall conform to the -------------------------------- specifications for the Products, as defined in the Company's device master record ("Product Specifications"). Company shall provide Distributor with documentation detailing the Product Specifications which is sufficient, in the reasonable opinion of Distributor, to meet Distributor's regulatory obligations under the Applicable Laws and to comply with Distributor's internal quality assurance requirements. Company shall provide a Certificate of Conformance with each delivery of the Products to Distributor, indicating compliance of the Products with the Product Specifications. The parties agree that Product Specifications may be supplemented, modified and updated from time to time by Company, but that significant changes to the Product Specifications shall require the prior written approval of both parties hereto, without formal amendment of this Agreement. Company agrees to notify Distributor in a timely manner of modifications which may affect the form, fit or function of the Products. Neither Company nor Distributor shall unreasonably withhold agreement on changes to the Product Specifications, provided that both parties must approve any changes which may adversely affect the safety or efficacy of the Products.

Conformance with Specifications. Supplier shall Manufacture the Products and use Materials in compliance with the Specifications. Purchaser shall have the right to request in writing changes to any of the Specifications. Supplier shall have the right to suggest changes to any of the Specifications to Purchaser in writing. Supplier shall not implement any change to the Specifications before both Parties have agreed to such changes in writing.

Conformance with Specifications. Supplier warrants that the Software and Supplier Documentation shall comply in all material respects with the Specification and shall function on the machines and with the operating systems identified in the Specification.

Conformance with Specifications. The Product supplied under this Agreement shall conform to the Specifications and the Quality Agreement.
