A continuing guarantee and indemnity clause ensures that a guarantor’s obligations to cover another party’s debts or liabilities remain in effect over time, even as those debts or obligations change or are renewed. In practice, this means the guarantor is responsible not just for a single transaction, but for all present and future obligations of the debtor to the creditor, until the guarantee is explicitly revoked. This clause provides ongoing security to the creditor by covering fluctuating or recurring debts, thereby reducing the risk of non-payment or default over the course of a business relationship.

Continuing guarantee and indemnity. This clause 11 is a continuing obligation of the Guarantor despite any settlement of account and remains in full force and effect until the obligations of the Seller under this agreement have been performed.
Continuing guarantee and indemnity. (a) This Clause 10 (AAB Guarantee) is a continuing obligation of Guarantor, despite Delivery of any Aircraft, and remains in full force and effect for so long as Seller has any liability or obligation to the Purchaser under any of this Agreement and until all of those liabilities or obligations have been fully discharged, regardless of any intermediate payment or discharge in whole or in part. Continuing guarantee and indemnity. This clause 8: (1) extends to cover this Agreement as amended, varied or replaced, whether with or without the consent of the Guarantor; and (2) is a continuing guarantee and indemnity and, despite Completion, remains in full force and effect for so long as the Seller has any liability or obligation to the Purchaser under, or arising from, this Agreement and until all relevant Losses or obligations have been fully discharged.
