Continuing Membership Clause Samples
The Continuing Membership clause defines the requirements and conditions under which a party must maintain its status as a member of an organization or group throughout the duration of an agreement. Typically, this clause stipulates that a party must remain in good standing, comply with membership obligations, and not withdraw or be expelled while the contract is in effect. For example, in a joint venture or association, each participant may be required to uphold their membership to ensure ongoing collaboration. The core function of this clause is to ensure stability and continuity among the parties, preventing disruptions that could arise if a member leaves or loses their status during the agreement term.

Continuing Membership. 1. When a teacher’s Association membership continues automatically from year to year, the Treasurer shall honor a single written authorization from that teacher for payroll deduction of professional dues, unless and until that authorization is revoked by the teacher, in writing, prior to October 1, of a given membership year.
2. On or before October 1st of each school year, the Association shall provide the Treasurer with an alphabetized list of members and amounts per person with signed authorization forms attached, for new members and non-continuing members. Payroll deductions for dues in the Association shall be made in at least twenty (20) consecutive equal payments. This arrangement may be changed upon mutual and written agreement of the parties.
Continuing Membership. A member who wishes to stop payroll deduction of the dues/fees must notify the Association and District in writing. The District shall then notify the Association in writing of members dropping deductions.
Continuing Membership. A member who wishes to stop payroll deduction of the dues/fees must notify the Association and District in writing by the 15th of September of the school year as such action is to become effective.
Continuing Membership. The authorization for payroll deduction of Association membership dues shall be on a continuing basis unless revoked in writing by the teacher through the Association by September 15 each year. Upon termination of the contract, the business office shall deduct all unpaid Association dues from the remaining pay checks
Continuing Membership. The parties agree that, subject to Section 2.04(b), from and after the date hereof and until the earlier of (1) the date that is 18 months after the date hereof or (2) the date of that nominations for the Board are due for the 2019 annual meeting of stockholders of the REIT (or the IPO Entity, as the case may be) (the "Initial Period"): (a) the Board will continue to consist of eight Directors, including at least five Independent Directors, and (b) the Fund shall have the right to nominate the Fund Nominees or other individuals to replace as Directors any Fund Nominees who shall depart from the Board, while TRA shall have the right to nominate the TRA Nominees or other individuals to serve as Directors to replace any TRA Nominees who shall depart from the Board, provided that if any departing nominee is an Independent Director, the individual nominated as a replacement Director under the provisions of this Agreement shall also qualify as an Independent Director as determined in good faith by the remaining Independent Directors of the Board, and provided further that the Fund and/or TRA, as applicable, provides Notice to the REIT, TRA and the Fund of any such replacement no later than 90 days after a vacancy created by the departure of their nominee has occurred, or if any nomination is proposed in connection with an annual meeting of stockholders, Notice of such nomination is provided in advance of the date that is identified by the Board as the deadline for "management's slate" of Directors to be presented to stockholders of the REIT (or the IPO Entity, as the case may be) at such annual meeting.

b) The Association President shall provide the Treasurer, in writing, with the amount of Association dues to be deducted from the paychecks of Association members authorizing such deductions on or before the first Friday of each new school year. The Association President shall provide the Treasurer with the list of new members who have authorized deductions, with executed deduction authorization forms, by September 30.
Continuing Membership a. Members may elect a continuation of coverage option. A Member who lives in the Service Area may elect to continue Group coverage if he or she no longer meets Group eligibility requirements and has not been terminated for any reason as stated in this Agreement, or for gross misconduct. The coverage will be the same as for Active Employees.
Continuing Membership. The Board will provide for the deduction of Association dues upon the receipt of a written authorization from the teacher. The authorization form will include a provision that a member may terminate the dues deduction authorization at any time, and unless terminated, the authorization will continue in effect from year to year. The Association shall indemnify and hold harmless the Board of Education from any and all claims, demands, suits, or other forms of liability (including costs and attorney fees) that shall arise out of or by reason of any act of commission or omission by the Board for the purposes of complying with the provisions of this Article.
