Date Change. In our sole discretion, you may alter the Settlement Date and Delivery Date of a contract. This will incur a fee as set out in our Commercial Agreement with you.

The Currency Collection Services are the following services: 1.1 The EUR Collection Service is a funds transfer service that allows you to fund your Currencycloud Account in and receive payments in the EEA in EUR. We will issue a Virtual IBAN solely for the purpose of the collection of EUR. 1.2 The GBP Collection Service is a funds transfer service that allows you to fund your Currencycloud Accounts in and receive payments in the UK in GBP. We will issue a virtual account number and sort code solely for the purpose of the collection of GBP. 1.3 The CAD Collection Service is a funds transfer service that allows you to fund your Currencycloud Accounts in and receive payments in Canada in CAD. We will issue a virtual account number and routing number solely for the purpose of the collection of CAD. 1.4 The SWIFT Collection Service is a funds transfer service that allows you to fund your Currencycloud Accounts by receiving currency. This enables you to receive payments in the UK in any available currency. We will issue a SWIFT BIC code solely for the purpose of the collection of currency. 1.5 Once you have received your virtual account details or SWIFT BIC code, you can then provide instructions to your Payers, to use their own banks (or similar financial institutions) to send funds to us on your behalf. When we receive these funds, they will be settled to your Currencycloud Account. 1.6 We may add or remove currencies available in the Currency Collections Service. Where we do this, we will give you seven (7) days’ notice.
Date Change. In the event the CLIENT requests changing the date of the booking, 1897 Events will make every reasonable effort to transfer the booking to the new date. The CLIENT agrees however that any date change after 3 days of original booking will be considered a forfeit of the non-refundable deposit. If CLIENT cancels WITHIN 7 DAYS of event the CLIENT agrees to pay 50% of the proposed revenue and expenses (ie. staff) to 1897 Events. 1897 Events will provide in writing said amount. 1897 Events shall have the right to terminate this Agreement if the CLIENT exceeds maximum capacity, fails to meet or violates any terms of this Agreement – note catering section. In the event of an Act of God or for example Act of War, Government regulation, but not limited to these, neither party is responsible for any failure to perform its obligations stated herein if it is prevented or delayed in performing those obligations by an event of force majeure. In this case, the nonrefundable deposit will be credited by The Schoolhouse to a new booking only as long as the booking occurs within 12 months of the date contracted herein. Refunds will not be given for dates held longer than 3 days.
Date Change. All references to the date "June 15, 1998" in the Agreement hereby are amended to be "February 24, 1998".

  • Climate Change 1. The Parties recognize that the climate change and its adverse effects are a common concern. In that sense, and under their international commitments, the Parties agree to promote joint measures to limit or reduce the adverse effects of the climate change. 2. For promoting sustainable development, each Party, within its own capacities, shall adopt policies and measures on issues such as: (a) improvement of energy efficiency; (b) research, promotion, development and use of new and renewable energy, technologies of carbon dioxide capture, and updated and innovative environmental technologies that do not affect food security or the conservation of biological diversity; and (c) measures for evaluating the vulnerability and adaptation to climate change.

  • Corporate Change Seller shall advise Purchaser in writing of the opening of any new chief executive office, or the closing of any such office, of any Seller Party and of any change in any Seller Party’s name or the places where the books and records pertaining to the Purchased Asset are held not less than fifteen (15) Business Days prior to taking any such action.

  • Rate Changes Pricing is fixed for the base term of the Agreement. Thereafter, Firm may request an increase to hourly rates to account for changes in the market prices for legal services. Any increase is subject to Citizens’ approval at Citizens’ sole discretion, and must be evidenced by a formal amendment to this Agreement. Price adjustments shall not be applied retroactively. Alternative fee arrangements must be pre-approved by Citizens in writing.

  • Termination Apart from a Change of Control If the Employee's employment with the Company terminates other than as a result of an Involuntary Termination within the twelve (12) months following a Change of Control, then the Employee shall not be entitled to receive severance or other benefits hereunder, but may be eligible for those benefits (if any) as may then be established under the Company's then existing severance and benefits plans and policies at the time of such termination.

  • Change of Control Transaction If the Company or its successor terminates the Employment upon a merger, consolidation, or transfer or sale of all or substantially all of the assets of the Company with or to any other individual(s) or entity (the “Change of Control Transaction”), the Executive shall be entitled to the following severance payments and benefits upon such termination: (1) a lump sum cash payment equal to 12 months of the Executive’s base salary at a rate equal to the greater of his/her annual salary in effect immediate1y prior to the termination, or his/her then current annua1 salary as of the date of such termination; (2) a lump sum cash payment equal to a pro-rated amount of his/her target annual bonus for the year immediately preceding the termination; and (3) immediate vesting of 100% of the then-unvested portion of any outstanding equity awards held by the Executive.
