Common use of Decision Making Process Clause in Contracts

Decision Making Process. Each member of the Advisory Committee shall have one vote, and decisions by the Advisory Committee shall be made by a majority vote. Any disagreement among members of the Advisory Committee shall be resolved within the Advisory Committee based on the efficient achievement of the objectives of this Agreement. Any disagreement which cannot be resolved by a majority vote of the Advisory Committee shall be referred to the President of each of Genetronics and Ethicon for resolution. It is the intent of the parties to resolve issues through the Advisory Committee whenever possible and to refer issues to the President
