Deed of assignment. This Assignment is made and entered into as of the July 31, 2010, between Gulf United Energy del Peru Ltd. ("Gulf), as assignor, and Upland Oil and Gas LLC Sucursal del Peru ("Upland"), as assignee.

Deed of assignment. At the Closing the parties will execute before a German notary, with offices in Dusseldorf, Germany a notarial deed of assignment in which Datron transfers the Ownership Interest in EME, and SL acquires the same, by way of assignment. Upon confirmation to SL of such delivery, SL shall pay the Base Purchase Price to Datron and, against delivery to Datron of the Purchase Price, the German counsel of SL shall record or arrange to record such assignment in the manner required by German law to complete transfer of the Ownership Interest. The deed of assignment shall be substantially in the form attached as Exhibit 3.2.

Deed of assignment. (a) If VicForests consents to an assignment of all of the Buyer’s rights and obligations under this Agreement, the Buyer must ensure that the assignee enters into a deed of assignment with VicForests and the Buyer substantially in the form attached in Schedule 7 but which shall include any conditions imposed by VicForests pursuant to clause 14.

Deed of assignment. Contemporaneously with the signing of this Agreement (or as soon as reasonably practical following formation of all Parties’ Nigerian subsidiaries), the Parties’ Nigerian subsidiaries shall sign the Deed of Assignment set out in Attachment B. Subject to termination under Article 3.2, the Deed of Assignment shall be effective on the Approval Date.

Deed of assignment. The Revolving Loan is secured by the Deed of Assignment of certain shareholder’s loan(s) owed or to be owed by and any sums owed or to be owed by the Borrower to the Share Mortgagors provided by the Share Mortgagors in favour of the Lender. The Deed of Assignment and all security constituted or pursuant to the Deed of Assignment shall become immediately enforceable upon the occurrence of an event of default.

Deed of assignment. The term "Deed of Assignment" shall mean the Deed of Assignment dated March 29, 1996 as set forth in Exhibit C attached hereto made between Micropolis (formerly referred to as "ST Chatsworth Pte Ltd") of the one part and the Original Lessee of the other part pursuant to which the Original Lessee has assigned to Micropolis all its rights, title and interest under the Building Agreement, which assignment has been consented to by JTC subject to such stipulations, terms and conditions and covenants contained in the Building Agreement.
