8 4. The Parties participated in a settlement conference with Justice ▇▇▇▇▇▇ ▇▇▇▇▇▇ 9 between March 13, 2023 and March 18, 2023. Following negotiations by and among all Parties 10 agreed on and signed a Binding Settlement 11 Term Sheet Agreement on March 19, 2023. Pursuant to the terms of that Term Sheet Agreement, 12 the Parties now enter into this Agreement in a good faith effort to avoid the uncertainty and 13 additional expense of protracted litigation.

The Parties now wish to effect a complete resolution and settlement of the claims, 15 disputes, and controversies relating to Petitioners claims in the Lawsuits, and to resolve their 16 differences by settling such claims, disputes, and controversies under the terms set forth in this 17 Agreement.
