Disposal Process. (a) Following the Closing Date: (i) the Purchaser and the Purchaser Guarantor shall not and shall procure that the Nordic Companies will not, raise against any of the Sellers and/or other companies of the P7S1 Group or any members of their executive bodies, employees or advisors any claims existing as of the Closing Date other than (i) claims of the Purchaser arising from this Agreement and/or the Tax Covenant and/or (ii) claims of the Nordic Companies under any Continuing Intra-Group Agreements or any claims otherwise covered under Section 7.4 above and/or (iii) the claims set forth in Section 5.5 above). If and to the extent any Nordic Company raises a claim for the payment of monies contrary to this Section 16.4(a) (i), the Purchaser shall indemnify, defend and hold harmless the Sellers and the respective company of the P7S1 Group from and against any such claim and any related costs and expenses incurred by the Sellers and the respective company of the P7S1 Group; and (ii) the Sellers shall not and shall procure that other members of the P7S1 Group will not, raise against any of the Nordic Companies or any members of their executive bodies or employees any claims existing as of the Closing Date other than (i) claims of the Sellers arising from this Agreement, (ii) claims under any Continuing Intra-Group Agreements to the extent arising (including consideration becoming due) after the Closing Date (other than claims of Snowman Productions AB and its Subsidiaries and/or any claims otherwise covered under Section 7.4 above; and/or (iii) the claims set forth in Section 5.5 above. If and to the extent any member of the P7S1 Group raises a claim for the payment of monies contrary to this Section 16.4(a) (ii), the Sellers shall indemnify, defend and hold harmless the Nordic Companies from and against any such claim and any related costs and expenses incurred by the Nordic Companies

Disposal Process. 1. PLI will only process viable products that have a reasonable expectation of credit. Customer shall not send PLI any products that do not meet the definition of a viable product. 2. Non-returnable items will be documented in a non-returnable inventory indicating product name, NDC, quantity, and the reason for non-eligibility for credit. 3. All non-viable/non-returnable items will be destroyed via incineration and a Certificate of Destruction shall be provided to the returning facility. The Customer will be invoiced at the contracted disposal rate.

  • Sale Process If a Non-Economic Facility is marketed for sale in accordance with Section 5.02 and Manager receives an offer therefor which it wishes to accept on behalf of the relevant TRS and Owner, Manager shall give the relevant TRS prompt notice thereof, which notice shall include a copy of the offer and any other information reasonably requested by such TRS. If the relevant TRS, on behalf of the relevant Owner, shall fail to accept or reject such offer within seven (7) Business Days after receipt of such notice and other information from Manager, such offer shall be deemed to be accepted. If the offer is rejected by the relevant TRS on behalf of the relevant Owner, and if Manager elects to continue marketing the Non-Economic Facility by providing written notice to the relevant TRS within seven (7) days of such rejection and Manager does not obtain another offer within ninety (90) days that is accepted by the relevant TRS, the Non-Economic Facility shall be deemed to have been sold to the relevant TRS on the date, at the price and on such other terms contained in the offer. If a Non-Economic Facility is sold to a third party or deemed to have been sold to the relevant Owner pursuant to such offer, effective as of the date of sale or deemed sale: (i) the Management Agreement shall terminate with respect to such Non-Economic Facility; (ii) Aggregate Invested Capital shall be reduced by an amount equal to the net proceeds of sale after reduction for the costs and expenses of the relevant TRS, the relevant Owner and/or Manager (or, in the case of a deemed sale, the net proceeds of sale determined by reference to such offer, after reduction for any amounts actually expended and any amounts which would reasonably have been expected to have been expended if the sale had been consummated by the relevant TRS, the relevant Owner and/or Manager). If the reduction in Aggregate Invested Capital is less than the Invested Capital of the Non-Economic Facility sold or deemed to have been sold, the difference shall be proportionately reallocated to the Invested Capital of the remaining Facilities.

  • Recall Procedure (a) A laid-off faculty member shall be offered reemployment when a vacancy becomes available for which the bargaining unit member is qualified. A faculty member will be recalled according to the principles of last laid off/first recalled, provided the faculty member is qualified to perform the duties of the position to be filled. (b) Faculty members being recalled shall be notified by mail, e-mail, and telephone to their last known address and shall have fifteen (15) working days from the date of delivery confirmation to respond affirmatively in writing. It shall be the faculty member’s responsibility to provide the College with a current address and make appropriate arrangements for forwarding receipt of mail if the faculty member will be away from their address for more than five (5) calendar days. (c) If the faculty member fails to accept the recall in writing to the College within fifteen (15) working days from the date the delivery of recall notification was confirmed, the faculty member shall be removed from the recall list and the College shall have no further obligation to the faculty member. The faculty member who has been laid-off shall remain on a recall list for two (2) years after layoff. (d) A faculty member who is laid off shall not be considered to have broken continuous service with the College, but shall not accumulate any additional service time during the period of layoff. During the recall period, the faculty member’s compensation, including benefits, shall cease, but shall be reinstated when recalled with the following exceptions: (i) Medical/Dental/Vision Insurance: COBRA will apply. (ii) Sick Leave: Faculty will retain accrued sick leave but will not accrue additional leave during the period of layoff. Sick leave may not be applied during the lay off period.

  • Approval Process Tenant shall notify Landlord whether it approves of the submitted working drawings within three business days after Landlord’s submission thereof. If Tenant disapproves of such working drawings, then Tenant shall notify Landlord thereof specifying in reasonable detail the reasons for such disapproval, in which case Landlord shall, within five business days after such notice, revise such working drawings in accordance with Tenant’s objections and submit the revised working drawings to Tenant for its review and approval. Tenant shall notify Landlord in writing whether it approves of the resubmitted working drawings within one business day after its receipt thereof. This process shall be repeated until the working drawings have been finally approved by Landlord and Tenant. If Tenant fails to notify Landlord that it disapproves of the initial working drawings within three business days (or, in the case of resubmitted working drawings, within one business day) after the submission thereof, then Tenant shall be deemed to have approved the working drawings in question. Any delay caused by Tenant’s unreasonable withholding of its consent or delay in giving its written approval as to such working drawings shall constitute a Tenant Delay Day (defined below). If the working drawings are not fully approved (or deemed approved) by both Landlord and Tenant by the 15th business day after the delivery of the initial draft thereof to Tenant, then each day after such time period that such working drawings are not fully approved (or deemed approved) by both Landlord and Tenant shall constitute a Tenant Delay Day.

  • Informal Process The Informal Process provides an Employee with the opportunity to resolve his or her concern by using the open door process, with the assistance of a FC member, within 30 calendar days of the date the Employee became aware of the issue. While an Employee may speak with anyone in the open door process regarding a concern or problem, the Employee is encouraged to take this concern up with his immediate supervisor or may request the assistance of the Employee Advocate or a FC member to facilitate resolution of the issue.
