ASK4 shall be the sole arbiter of any disputes arising under the provisions of this paragraph. ASK4 reserves the right to impose transfer-limits on customers who regularly use the Service in an excessive fashion where such usage disrupts the service of other customers. The Service is intended to be used for personal non- commercial purposes only within a single dwelling and on a single computer (save where the particular Service package the Customer subscribes to provides for access by multiple machines within a single dwelling). You shall not make the Service available to any third party by any means, and in particular but without prejudice to the generality thereof, by using any form of wireless access system, (but this provision shall not apply to anyone having a legitimate right to use 4Wireless). Disruption to the service. If the Contractor is unable to clean any area within a Site through reasons beyond his control (such as but not limited to power failure or special events), then he shall inform the Contract Manager of his failure to enter the area or building affected. The Contractor shall return to the Site to clean the affected area at the earliest opportunity provided this is within the cycle period. If the Contractor is unable to return to the affected area within the cycle period, then payment will be withdrawn for the area affected at the appropriate rate. The Contract Manager shall deduct monies for Sites not cleaned. Where on occasion a room within a Site is occupied, unless directed otherwise, it will be cleaned after it has been vacated. Where the room is still occupied when all other cleaning duties for the Site have been completed, the daily cleaning duties for that room that day will not be carried out, and any other cleaning duties intended for that room for that day will be rescheduled within the cycle period.

  • Access to the Service Subject to Subscriber’s compliance with the terms of this Agreement, Inriver hereby grants to Subscriber the right to access and use the Service and the Documentation for the internal business purposes for such Business Units as specified in an Order Form on a limited, revocable, non-exclusive, non-transferable basis in accordance with the scope identified in an Order Form. Inriver will provide Subscriber with a primary administrator Account for managing and granting access to its Authorized Users and Subscriber is responsible for activating them. Subscriber hereby instructs Inriver to grant the Subscriber’s implementing partner access to Subscriber’s environment for the Service. If an implementing partner no longer shall have access to the Service, Subscriber shall notify Inriver of this and Inriver will remove such access.

  • Disruption to Payment Systems etc If either the Facility Agent determines (in its discretion) that a Disruption Event has occurred or the Facility Agent is notified by a Borrower that a Disruption Event has occurred: (a) the Facility Agent may, and shall if requested to do so by a Borrower, consult with the Borrowers with a view to agreeing with the Borrowers such changes to the operation or administration of the Facility as the Facility Agent may deem necessary in the circumstances; (b) the Facility Agent shall not be obliged to consult with the Borrowers in relation to any changes mentioned in paragraph (a) above if, in its opinion, it is not practicable to do so in the circumstances and, in any event, shall have no obligation to agree to such changes; (c) the Facility Agent may consult with the Finance Parties in relation to any changes mentioned in paragraph (a) above but shall not be obliged to do so if, in its opinion, it is not practicable to do so in the circumstances; (d) any such changes agreed upon by the Facility Agent and the Borrowers shall (whether or not it is finally determined that a Disruption Event has occurred) be binding upon the Parties and any Transaction Obligors as an amendment to (or, as the case may be, waiver of) the terms of the Finance Documents notwithstanding the provisions of Clause 45 (Amendments and Waivers); (e) the Facility Agent shall not be liable for any damages, costs or losses to any person, any diminution in value or any liability whatsoever (including, without limitation for negligence, gross negligence or any other category of liability whatsoever but not including any claim based on the fraud of the Facility Agent) arising as a result of its taking, or failing to take, any actions pursuant to or in connection with this Clause 35.11 (

  • Access to the Services ID’s for access to Vendor Core Research and Analyst Inquiry may not be shared. Access to the Services is restricted to the number of named individuals (each a “Licensed User”) as identified in the Customer Purchase Order.

  • Changes to the Services We provide Services in a multi- user environment and must therefore reserve the right to modify and discontinue Services. We may modify a Service at any time without degrading its functionality or security features For current subscriptions, we may degrade the functionality of a Service or discontinue a Service only in case of (i) legal requirements; (ii) changes in the Services imposed by Siemens’ subcontractors; (iii) the termination of our relationship with a provider of software and/or services used by us which are material for the provision of such Service; (iv) lack of customer acceptance; and/or (v) security risks. We will notify you of any material degradation of functionality or the discontinuation of a Service and the effective date at least 80 days prior to such change, and you may terminate the modified Service 30 days prior to the change effective date. In the event of such termination or discontinuation of a Service, we will refund any prepaid amounts for the applicable Service on a pro-rata basis for the remaining Subscription Term. We do not maintain prior versions of a Service.

  • Suspension of the Services The Services may be suspended (meaning the Child is temporarily not able to attend the nursery) in the circumstances set out in our Critical Incident Policy or in the circumstances set out in clause 19. If the Services are suspended for a period of more than one month, either of us may terminate the contract by giving the other one month’s written notice.
