Distribution to Settlement Class Members. (a) The money remaining from the Settlement Amount, including any accrued interest thereon, after the payment of approved Attorneys’ Fees and Expenses, Administration Costs, and Taxes and Tax-Related Costs (or any estimate of those amounts to be incurred in the future), shall constitute the funds available for distribution to Settlement Class Members (the “Distributable Settlement Amount”).
(b) The Distributable Settlement Amount shall be divided among Settlement Class Members in accordance with the Plan of Allocation (attached hereto as Exhibit C) or such other allocation plan as may be ordered by the Court. It is understood and agreed by the Parties that the proposed Plan of Allocation is not part of this Agreement and is to be considered by the Court separately from the Court’s consideration of the fairness, reasonableness, and adequacy of the Settlement, and any order or proceeding relating to the Plan of Allocation shall not operate to terminate or cancel this Agreement or affect the finality of the Court’s Final Approval Order and Judgment approving the Settlement or any other Orders entered pursuant to the Agreement. Notwithstanding the foregoing, or anything else in this Agreement, any revisions to the Plan of Allocation that would require the L3Harris Releasees to pay more than the Settlement Amount or incur additional expenses or costs or to provide data not already readily available shall be deemed a material alteration of this Agreement and entitle Defendants, at their election, to terminate the Agreement.
(c) The Settlement Administrator shall disburse the Distributable Settlement Amount as promptly as reasonably possible after the Effective Date, and, in any event, shall use reasonable best efforts to disburse the Distributable Settlement Amount no later than two hundred-seventy (270) days after the Effective Date.
(d) No Former Participant whose entitlement to payment pursuant to the Plan of Allocation would otherwise be less than five dollars ($5.00) shall receive any payment from the Distributable Settlement Amount.
(e) Settlement Class Members who are paid by check must cash those checks within ninety (90) days of issuance. If they do not do so, the checks will be void. This limitation shall be printed on the face of each check. The voidance of checks shall have no effect on the Settlement Class Members’ release of claims, obligations, representations, or warranties as provided herein, which shall remain in full effect.
Distribution to Settlement Class Members. (a) The Distributable Settlement Fund shall consist of the difference of Nine Million Seven Hundred Fifty Thousand Dollars ($9,750,000.00) minus the amount of any Court-approved Service Award, Administration Costs, attorneys’ fees and expenses (including costs) pursuant to the Attorneys’ Fee Order, and Claims Referee expenses to resolve challenged claims or claim denials under Section 2.6(c) (the “Distributable Settlement Fund”). Settlement Class Members shall receive a single payment in an amount equal to the sum of payments for which they are entitled under Sections 2.3(b) and (c), subject to the terms of Section 2.3(d), (e), and (f).
(b) Subject to Sections 2.3(d), (e), and (f), each Damages Settlement Class Member who timely submits a Claim Form by the Claims Deadline in accordance with Section 2.6(a) below that is found to be valid and approved and otherwise among the Approved Claims, as provided herein, shall be entitled to payment from the Distributable Settlement Fund in an amount equal to the number of Damages Settlement Class Accounts for which the Damages Settlement Class Member is shown to be an account holder multiplied by One Thousand Two Hundred Dollars ($1,200.00).
(c) Subject to Sections 2.3(d), (e), and (f), each Injunctive Settlement Class Member who timely submits a Claim Form by the Claims Deadline in accordance with Section 2.6(a) below that is found to be valid and approved and otherwise among the Approved Claims, as provided herein, shall be entitled to payment from the Distributable Settlement Fund in an amount equal to the number of Injunctive Settlement Class Accounts for which the Injunctive Settlement Class Member is an account holder multiplied by Two Hundred Dollars Fifty Dollars ($250.00).
(d) Nothing shall prevent Damages Settlement Class Members who additionally qualify as Injunctive Settlement Class Members from receiving payment from the Distributable Settlement Fund in amount reflecting both Damages Settlement Class Accounts and Injunctive Settlement Class Accounts, provided that Settlement Class Members may receive only a single recovery per Settlement Class Account.
(e) In the event that the Distributable Settlement Fund is not sufficient to allow each Approved Claim to receive the amount provided in Section 2.3(a), the amount paid to each Approved Claim will be adjusted downward pro rata, so that the Distributable Settlement Fund is sufficient to pay all Approved Claims.

Distribution to Settlement Class Members. (a) The Net Settlement Amount will be distributed on a proportionate basis to all Participating Class Members based on days worked during the Release Period. The precise formula is to be determined with Class Counsel to have final approval of distribution. Defendants will provide class member data as necessary to the Claims Administrator to allow for calculation and distribution of individual settlement awards. Defendants represent and warrant that all payroll information provided and that will be provided is complete and accurate to the best of their knowledge, information, and belief.
Distribution to Settlement Class Members. 77. All Settlement Class Members will be sent a Coupon in the Class Notice. Settlement Class Members need not submit a Claim Form to use their Coupon.
78. Settlement Class Members shall also be eligible for the Individual Relief from the Net Settlement Fund as provided in this Agreement, provided they complete and timely submit the Claim Form (which shall be included with the Long-Form Class Notice available on the Settlement Website) to the Settlement Administrator prior to the Claim Deadline and the Settlement Administrator and the Parties approve the claim for relief.
79. Distribution of Vouchers and PayPal / eCheck payments shall be effectuated through e-mail at the address provided by the Eligible Claimant in the Claim Form.
80. Distribution to Eligible Claimants who elected to receive cash pursuant to the Individual Relief shall be made by payment to the Eligible Claimants’ choice of their PayPal Account or bank account via eCheck. The payment of the cash due to each so electing Eligible Claimant, whether by payment to the Class Members’ PayPal Account or bank account via eCheck, if applicable, shall have the identical legal effect under this Agreement. A physical check will be mailed to the extent payment to the Settlement Class Members’ PayPal Account or bank account via eCheck bounces back. A Settlement Class Member shall have ninety (90) days after the date of issuance, to deposit, or otherwise negotiate, a check or an eCheck.
81. PayPal and eCheck payments will be made by the Settlement Administrator within forty-five (45) days of the approval by Class Counsel and GNC’s Counsel of the Settlement Administrator’s claim determinations set forth in Paragraphs 114 below.
82. The Settlement Administrator shall distribute the Vouchers to the applicable Eligible Claimants within forty-five (45) days of approval by Class Counsel and GNC’s Counsel of the Settlement Administrator’s claim determinations set forth in Paragraphs 114 below.
83.
