Common use of Documents of Transfer Clause in Contracts

Documents of Transfer. On the Closing Date, the Seller shall duly execute and deliver to the Buyer the Assignment, Bill of Sale and Assump▇▇▇▇ Agreement. Any applicable sales tax, use tax or transfer fees shall be paid by the Seller at the Closing. In addition, the Seller shall execute and deliver to the Buyer at the Closing, in form and substance reasonably satisfactory to counsel for the Buyer, assignments assigning to the Buyer the following: (a) All Intellectual Property, provided that any form required by the patent office of any jurisdiction to transfer the ownership of the Intellectual Property shall be prepared at Buyer's expense; (b) All Contracts; (c) All assignable Permits; and (d) Such other Purchased Assets as the Buyer may reasonably request.
