Edison Contract; Investigation of Transmission Lines Relocation Cost and Timing. From and after the date of this Amendment, Seller shall use its diligent good faith efforts to enter into a contract by and between Seller and Commonwealth Edison (the “Edison Contract”) by January 11, 2016 (the “Edison Contract Deadline”) which shall (1) obligate Commonwealth Edison to perform the Relocation of Transmission Lines Work prior to June 30, 2016, and (2) state the total amount to be paid to Commonwealth Edison for the performance of the Relocation of Transmission Lines Work (the “Determined Costs”), other than any variable costs arising from unforeseen circumstances which may occur during Commonwealth ▇▇▇▇▇▇’s performance of the Relocation of Transmission Lines Work. The Edison Contract shall be subject to Purchaser’s review and approval, which shall not be unreasonably withheld, conditioned or delayed. Seller shall keep Purchaser reasonably informed of the status of Seller’s efforts to obtain the Edison Contract. In the event the Edison Contract is not entered into by CHI1:0000050/00000:2167503 January 11, 2016, reference to “January 11, 2016” in the first sentence of this section 2.01(d) shall, ipso facto, be deleted and replaced with “February 11, 2016” such that February 11, 2016 shall be the Edison Contract Deadline.

  • Joint Funded Project with the Ohio Department of Transportation In the event that the Recipient does not have contracting authority over project engineering, construction, or right-of-way, the Recipient and the OPWC hereby assign certain responsibilities to the Ohio Department of Transportation, an authorized representative of the State of Ohio. Notwithstanding Sections 4, 6(a), 6(b), 6(c), and 7 of the Project Agreement, Recipient hereby acknowledges that upon notification by the Ohio Department of Transportation, all payments for eligible project costs will be disbursed by the Grantor directly to the Ohio Department of Transportation. A Memorandum of Funds issued by the Ohio Department of Transportation shall be used to certify the estimated project costs. Upon receipt of a Memorandum of Funds from the Ohio Department of Transportation, the OPWC shall transfer funds directly to the Ohio Department of Transportation via an Intra- State Transfer Voucher. The amount or amounts transferred shall be determined by applying the Participation Percentages defined in Appendix D to those eligible project costs within the Memorandum of Funds. In the event that the Project Scope is for right-of-way only, notwithstanding Appendix D, the OPWC shall pay for 100% of the right-of-way costs not to exceed the total financial assistance provided in Appendix C.

  • Interconnection Facilities Engineering Procurement and Construction Interconnection Facilities, Network Upgrades, and Distribution Upgrades shall be studied, designed, and constructed pursuant to Good Utility Practice. Such studies, design and construction shall be based on the assumed accuracy and completeness of all technical information received by the Participating TO and the CAISO from the Interconnection Customer associated with interconnecting the Large Generating Facility.

  • Connecting Transmission Owner’s Scope of Work and Responsibilities The Connecting Transmission Owner will design, construct, own, operate and maintain all Connecting Transmission Owner’s Interconnection Facilities, except as otherwise stated above and in the Project Specific Specifications. The Connecting Transmission Owner will complete all engineering reviews, field verifications and witness testing, etc. in accordance with the ESBs and the Project Specific Specifications. Connecting Transmission Owner shall provide the revenue metering CT/PT units and meter socket enclosure. The Connecting Transmission Owner shall: • provide, run, and wire both ends of the color-coded cable for the revenue metering instrument transformer secondary wiring; • perform all terminations; and • supply and install the meter. The revenue meter may require a communications link to the RTU. The Connecting Transmission Owner will specify and run those communications cables. The Connecting Transmission Owner shall complete all wiring, testing and commissioning of the RTU.

  • System Upgrade Facilities and System Deliverability Upgrades Connecting Transmission Owner shall design, procure, construct, install, and own the System Upgrade Facilities and System Deliverability Upgrades described in Appendix A hereto. The responsibility of the Developer for costs related to System Upgrade Facilities and System Deliverability Upgrades shall be determined in accordance with the provisions of Attachment S to the ISO OATT.
