Enduring Materials Sample Clauses

The Enduring Materials clause defines which documents, records, or materials related to the agreement must be retained and remain accessible after the contract ends. Typically, this clause specifies the types of materials to be preserved, the duration for which they must be kept, and the format in which they should be stored, such as electronic or physical copies. Its core function is to ensure that important information remains available for reference, compliance, or audit purposes, thereby reducing the risk of disputes or loss of critical data after the contractual relationship concludes.
Enduring Materials. This agreement applies to any enduring material, or “self-study” activity whether in the form of a publication, analog or digital recording, software, other audio-visual component, Internet program or any combination of these media. If the Accredited Provider records, re-purposes or otherwise produces CME enduring materials derived from, based on or archived from the scientific educational activity funded under this agreement, the Accredited Provider and the Commercial Interest agree that all the terms, conditions and purposes of this agreement apply to the planning, production and dissemination of the enduring material. If the enduring material is, or includes, an Internet component, it must comply in all respects with the ACCME’s policy for Internet CME. In self-study education the juxtaposition of editorial and advertising material on the same products or subjects is not allowed.
Enduring Materials. 8.1 CMSA is responsible to ensure that the quality, content, and use of all educational materials, by their content or format be educational in nature. Sponsor is allowed 5 minutes before or after the presention to discuss company and/or specific products. 8.2 The symposium sponsor agrees to submit all speaker presentation, handouts and promotional materials for review and approval by April 30, 2019. Approval from CMSA must be received before replicating materials for dissemination. 8.3 The symposium sponsor is responsible for creation, printing, and shipping of presenation materials to accommodate the maximum number of registered symposium attendees as warranted by registration numbers. Provider will supply shipping information 45 days in advance, but is not liable for lost or misplaced shipments. The originator must have shipping tracking numbers available when onsite. 8.4 The symposium sponsor may submit all presentation materials (i.e. faculty Power Point slides, handouts, etc) for posting to CMSA’s website, if submitted according to deadline and approved by symposium sponsor coordinator, speaker and CMSA. 8.5 The sympoisum will be recorded. A copy of the audio and slide recording link will be made available to the sponsor post conference for use at its discretion. If CEs will be offered, sponsor must apply for CEs indepenently. CEs files by CMSA for conference are not transferrable.
Enduring Materials. The Education Provider will exercise full control over the content of any Enduring Materials and Ipsen will not attempt to influence the content. To the extent an Educational Partner is involved in developing Enduring Materials, all such materials will be subject to the review and approval of Education Provider. For purposes of this Agreement, “Enduring Materials” mean any materials produced for, derived from, or based on the Program in any medium, including but not limited to print, audio, or video tape, electronic documents, slides, or web-based materials.

  • Offering Materials Neither the Company nor any of its directors and officers has distributed and none of them will distribute, prior to each Closing Date, any offering material in connection with the offering and sale of the Securities other than the Time of Sale Disclosure Package.

  • Training Materials Training Materials will be provided for each student. Training Materials may be used only for either (i) the individual student’s reference during Boeing provided training and for review thereafter or (ii) Customer’s provision of training to individuals directly employed by the Customer.

  • Marketing Materials (a) During the term of this Agreement, the Sub-Adviser agrees to furnish the Manager at its principal office for prior review and approval by the Manager all written and/or printed materials, including but not limited to, PowerPointÒ or slide presentations, news releases, advertisements, brochures, fact sheets and other promotional, informational or marketing materials (the “Marketing Materials”) for internal use or public dissemination, that are produced or are for use or reference by the Sub-Adviser, its affiliates or other designees, broker-dealers or the public in connection with the Series, and Sub-Adviser shall not use any such materials if the Manager reasonably objects in writing within five business days (or such other period as may be mutually agreed) after receipt thereof. Marketing Materials may be furnished to the Manager by first class or overnight mail, facsimile transmission equipment, electronic delivery or hand delivery. (b) During the term of this Agreement, the Manager agrees to furnish the Sub-Adviser at its principal office all prospectuses, proxy statements, reports to shareholders, or Marketing Materials prepared for distribution to shareholders of each Series, or the public that refer to the Sub-Adviser in any way, prior to the use thereof, and the Manager shall not use any such materials if the Sub-Adviser reasonably objects in writing within five business days (or such other period as may be mutually agreed) after receipt thereof. The Sub-Adviser’s right to object to such materials is limited to the portions of such materials that expressly relate to the Sub-Adviser, its services and its clients. The Manager agrees to use its reasonable best efforts to ensure that materials prepared by its employees or agents or its affiliates that refer to the Sub-Adviser or its clients in any way are consistent with those materials previously approved by the Sub-Adviser as referenced in the first sentence of this paragraph. Marketing Materials may be furnished to the Sub-Adviser by first class or overnight mail, facsimile transmission equipment, electronic delivery or hand delivery.

  • Original Material The description of the material being transferred will be specified in an implementing letter.

  • Advertising Materials 1. Open Ecosystem Partner may add its own material to the information supplied by either indirectly by Distributor or directly by SAP, solely for the purposes of Open Ecosystem Partner's own marketing activities. Any material which is added must be clearly marked as Open Ecosystem Partner's material. 2. All marketing and promotional materials developed by or for Open Ecosystem Partner, including, but not limited to, print advertisement, broadcast or telecast commercials, product brochures, sales aids, manuals, displays, and publicity concerning the Software distributed hereunder and related services must be of first quality.
