Establishment and Application of Costs of Issuance Fund. (a) The Trustee shall establish a special trust fund designated as the “City of Avondale Series 2019 Costs of Issuance Fund” (herein referred to as the “Costs of Issuance Fund”), shall keep such fund separate and apart from all other funds and moneys held by it and shall administer such fund as provided in this Trust Agreement.
(b) Amounts in the Costs of Issuance Fund shall be disbursed for the payment of Delivery Costs. Disbursements from the Costs of Issuance Fund shall be made by the Trustee upon receipt of a requisition for disbursement (on which the Trustee is entitled to rely) executed or approved by the City Representative. Each such certificate shall set forth the amounts to be disbursed for payment, or reimbursement of previous payments, of Delivery Costs and the person or persons to whom said amounts are to be disbursed. The Trustee has no duty or obligation to confirm that such disbursements constitute Delivery Costs.
(c) On the earlier of December 1, 2019, or when all Delivery Costs associated with the Obligations have been paid (as shown by a certificate of a City Representative, if requested by the Trustee), the Trustee shall transfer any amounts remaining in the Costs of Issuance Fund to the Payment Fund and the Costs of Issuance Fund shall be closed.
Establishment and Application of Costs of Issuance Fund. The Trustee established, maintained and held in trust under the Original Bond Indenture a separate fund of the Borrower designated as the “Costs of Issuance Fund.” The moneys in the Costs of Issuance Fund were used and withdrawn by the Trustee to pay the Costs of Issuance upon Requisition of the Borrower stating the Persons to whom payment is to be made, the amount to be paid, the purpose for which the obligation was incurred and that such payment is a proper charge against said fund. On or before January 25, 2012, amounts, if any, remaining in the Costs of Issuance Fund were transferred to the Project Fund, and the Costs of Issuance Fund was thereafter closed.

The Trustee shall establish, maintain and keep separate and apart from all other funds held by the Trustee a separate fund designated as the “Costs of Issuance Fund”. Not withstanding any other provision of this Indenture, the Cost of Issuance Fund is not pledged to, nor does it does it secure, the Bonds. The moneys in the Costs of Issuance Fund shall be used by the Trustee to pay the Costs of Issuance upon submission of Written Requisitions of the City in the form of Exhibit B hereto and stating the person to whom payment is to be made, the amount to be paid, the purpose for which the obligation was incurred and that such payment is a proper charge against said fund. Each such Written Requisition shall be sufficient evidence to the Trustee of the facts stated therein and the Trustee shall have no duty to confirm the accuracy of such facts. On December 1, 2010, or upon the earlier Written Request of the City, all amounts remaining in the Costs of Issuance Fund shall be transferred by the Trustee to the Revenue Fund to be used for the payment of interest on the Bonds.

The Trustee shall establish, maintain and hold in trust a separate fund designated as the “Costs of Issuance Fund.” Moneys deposited in said fund shall be used and withdrawn by the Trustee to pay the Costs of Issuance of the Bonds upon Requisition of the Corporation, which shall be substantially in the form of Exhibit C, signed by an Authorized Representative of the Corporation, stating the person to whom payment is to be made, the amount to be paid, the purpose for which the obligation was incurred and that such payment is a proper charge against said fund, and including a copy of the invoice or statement evidencing the costs incurred. Each such Written Requisition of the Corporation shall be sufficient evidence to the Trustee of the facts stated therein and the Trustee shall have no duty to confirm the accuracy of such facts. On the one hundred eightieth (180th) day following the initial issuance of the Bonds, or upon the earlier Request of the Corporation, amounts, if any, remaining in the Costs of Issuance Fund shall be transferred to the Project Fund and the Costs of Issuance Fund shall be closed.

The Fiscal Agent shall establish and maintain a separate fund designated as the “Costs of Issuance Fund.” The moneys in the Costs of Issuance Fund shall be applied by the Fiscal Agent to pay or to reimburse the City for the payment of the Costs of Issuance of the Bonds. Before any payment from the Costs of Issuance Fund shall be made, the City shall file or cause to be filed with the Fiscal Agent a Requisition of the City, a form of which is attached hereto as Exhibit B, stating (i) the item number of such payment; (ii) the name and address of the person to whom each such payment is due, which may be the City in the case of reimbursement for costs theretofore paid by the City; (iii) the respective amounts to be paid; (iv) the purpose by general classification for which each obligation to be paid was incurred; and (v) that obligations in the stated amounts have been incurred by the City and are presently due and payable and that each item thereof is a proper charge against the Costs of Issuance Fund and has not been previously paid from said fund. Each Requisition of the City shall be sufficient evidence to the Fiscal Agent of the facts stated therein and the Fiscal Agent shall have no duty to confirm the accuracy of such facts. At the end of six (6) months from the date of issuance of Bonds, or upon an earlier determination by the City that amounts in such account are no longer required for the payment of Costs of Issuance, the Fiscal Agent shall transfer any remaining amounts in such account to the Special Tax Fund and the Fiscal Agent shall close the Costs of Issuance Fund.

Each such Written Requisition of the Corporation shall be sufficient evidence to the Trustee of the facts stated therein and the Trustee shall have no duty to confirm the accuracy of such facts. On the one hundred eightieth (180th) day following the initial issuance of the Bonds, or upon the earlier Request of the Corporation, amounts, if any, remaining in the Costs of Issuance Fund shall be transferred to the Project Fund and the Costs of Issuance Fund shall be closed. Except as hereinafter provided, in the event of any damage to or destruction of any part of the Leased Property, caused by the perils covered by the policies of insurance required to be maintained by the County pursuant to Section 6.03 of the Facility Lease, the County and the Corporation shall cause the proceeds of such insurance (other than rental interruption insurance which is to be placed in the Revenue Fund) to be used in accordance with Section 7.01 of the Facility Lease. The Trustee shall hold said proceeds in a separate fund to be established and maintained by the Trustee and designated the “Insurance Proceeds and Condemnation Awards Fund.” The Trustee shall only make disbursements from the Insurance Proceeds and Condemnation Awards Fund upon receipt of a Request of the County on behalf of the Corporation, which (i) states with respect to each disbursement to be made: (A) the requisition number, (B) the name and address of the person, firm or authority to whom payment is due, (C) the amount to be disbursed, and (D) that each obligation therein has been properly incurred for the purpose of repair, reconstruction or replacement of the Leased Property to at least the same good order, repair and condition as it was in prior to the damage or destruction, insofar as the same may be accomplished by the use of said proceeds and is a proper charge against th...

On the one hundred eightieth (180th) day following the initial issuance of the Bonds, or upon the earlier Request of the Corporation, amounts, if any, remaining in the Costs of Issuance Fund shall, at the option of the Corporation, be transferred to the Project Fund or the Revenue Fund and the Costs of Issuance Fund shall be closed.

Payments under each such written requisition shall be made by check or wire transfer in accordance with the payment instructions set forth in the written requisition and the Trustee shall rely on such payment instructions with no duty to investigate or inquire as to the authenticity of the payment instructions or the authority under which they were given. On September 25, 2015, the Trustee shall withdraw all remaining moneys in the Costs of Issuance Fund and transfer such moneys to the Lease Payment Fund and the Costs of Issuance Fund shall be closed.
