Evaluative Material Clause Samples

The Evaluative Material clause defines how certain information, opinions, or assessments are treated within a contract or agreement. Typically, this clause clarifies that materials such as reviews, ratings, or expert analyses are provided for informational purposes and may not be binding or relied upon as factual representations. For example, a contract might specify that product evaluations or third-party reports are not warranties or guarantees. The core function of this clause is to limit liability and manage expectations by distinguishing evaluative content from enforceable promises or factual statements.
Evaluative Material. A copy of all evaluative material relating to an employee shall be retained in his/her official personnel file in the Human Resources Office. Before evaluative material is placed in the personnel file, a copy of such material shall have previously been made available to the employee. The employee shall have acknowledged receipt of such evaluative material but such acknowledgment shall not signify anything other than receipt of a copy of the material. Should the employee refuse to sign the material, the supervisor shall write on the material that the employee refused to sign, date it and sign his/her name to the material. The employee shall have the right to respond to any material placed in his/her file by submitting the response in writing within ten (10) working days of the filing of the original material. Such response shall be attached to the file copy.

Evaluative Material. A. An employee who has been involved in a competitive action governed by the terms of this Article (or the employee’s Union representative designated by the employee in writing) may, upon request, obtain the score assigned him/her as well as the cut off score for the Best Qualified list. B. In processing grievances related to actions taken under the terms of this Article, the ▇▇▇▇▇▇▇ designated in writing to represent an employee will, upon request, be furnished the evaluative material in accordance with applicable laws and regulations generated or utilized by Management in assessing the qualifications of the eligible candidates in regard to a grieved promotion action subject to the following criteria: 1. The aforementioned material will be provided to the grieving employee’s ▇▇▇▇▇▇▇ subject to the Employer’s legal responsibility and obligation to protect the privacy of the eligible candidate(s) involved in the promotion in question; 2. If the grievance is confined to ‘Best Qualified’ candidates, only the evaluative material of such candidates will be provided; 3. If the grievance involves a candidate not on the Best Qualified list, only the evaluative material of all qualified candidates will be provided; and 4. If the grievance involves questions of basic eligibility, evaluative material of all candidates will be provided. Section 1 General

  • Product Information EPIZYME recognizes that by reason of, inter alia, EISAI’s status as an exclusive licensee in the EISAI Territory under this Agreement, EISAI has an interest in EPIZYME’s retention in confidence of certain information of EPIZYME. Accordingly, until the end of all Royalty Term(s) in the EISAI Territory, EPIZYME shall keep confidential, and not publish or otherwise disclose, and not use for any purpose other than to fulfill EPIZYME’s obligations, or exercise EPIZYME’s rights, hereunder any EPIZYME Know-How Controlled by EPIZYME or EPIZYME Collaboration Know-How, in each case that are primarily applicable to EZH2 or EZH2 Compounds (the “Product Information”), except to the extent (a) the Product Information is in the public domain through no fault of EPIZYME, (b) such disclosure or use is expressly permitted under Section 9.3, or (c) such disclosure or use is otherwise expressly permitted by the terms and conditions of this Agreement. For purposes of Section 9.3, each Party shall be deemed to be both the Disclosing Party and the Receiving Party with respect to Product Information. For clarification, the disclosure by EPIZYME to EISAI of Product Information shall not cause such Product Information to cease to be subject to the provisions of this Section 9.2 with respect to the use and disclosure of such Confidential Information by EPIZYME. In the event this Agreement is terminated pursuant to Article 12, this Section 9.2 shall have no continuing force or effect, but the Product Information, to the extent disclosed by EPIZYME to EISAI hereunder, shall continue to be Confidential Information of EPIZYME, subject to the terms of Sections 9.1 and 9.3 for purposes of the surviving provisions of this Agreement. Each Party shall be responsible for compliance by its Affiliates, and its and its Affiliates’ respective officers, directors, employees and agents, with the provisions of Section 9.1 and this Section 9.2.

  • Promotional Material In the event that the Fund or the Investment Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Investment Adviser will install and maintain or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.

  • Course Materials The adoption of any course materials, print or electronic, after a Course Agreement is signed will require an agreed and signed addendum.

  • Training Materials Training Materials will be provided for each student. Training Materials may be used only for either (i) the individual student’s reference during Boeing provided training and for review thereafter or (ii) Customer’s provision of training to individuals directly employed by the Customer.

  • Information Sources The Custodian may rely upon information received from issuers of Investments or agents of such issuers, information received from Subcustodians and from other commercially reasonable sources such as commercial data bases and the like, but shall not be responsible for specific inaccuracies in such information, provided that the Custodian has relied upon such information in good faith, or for the failure of any commercially reasonable information provider.
