Exhibit A – Services. Subject to the terms and conditions of the Marketing Services Consulting Agreement (the "Agreement"), Consultant shall provide the following Services within the South American territory, including Argentina, Bolivia, Chile, Paraguay and Peru (the "Territory"). Capitalized terms appearing herein but not otherwise defined shall have the same meaning given such terms in the Agreement. I. Business Development Within thirty (30) days of the execution and deliver of the Agreement, Consultant shall present a written business plan specifically describing the proposed business development activities proposed by Consultant (the "Business Plan"). Subject to Client approval of the Business Plan, Consultant shall use its best efforts to perform the services set forth in the Business Plan. Within ten (10) days of the end of each quarter, provide a written quarterly update to the Business Plan, with detailed explanation of any changes made.
