Common use of Failure to Resolve Dispute Clause in Contracts

Failure to Resolve Dispute. If (a) any issue is not resolved within [***] after the first meeting pursuant to Section 12.1(c) or (b) there is a dispute regarding payments made or due under this Agreement, either Licensee or Licensors may file appropriate CONFIDENTIAL administrative or judicial proceedings with respect to the issue in dispute. The parties agree to consider in good faith any proposals to address issues through alternative dispute resolution.
