FEE BASIS Sample Clauses

FEE BASIS. All fees and compensation payable under this Agreement will be formulated and based upon the certified negotiated Wage Rates stated in Schedule 2 of the Agreement. Said Wage Rates are the effective direct hourly rates, as approved by the Town, of Consultant and Subconsultant employees in the specified professions and job categories that are to be utilized to provide the Services under this Agreement, regardless of manner of compensation. Should the Consultant intend to utilize personnel or Subconsultants for the Project where the Wage Rates have not been established, the Consultant must request that the Town add the person or Subconsultant’s wage rates to Schedule 2 prior to the use of the personnel. The Town may require that the Consultant provide documentation substantiating the request.

FEE BASIS. Services to be billed on a [Time and Materials Basis] [Fixed Fee Basis], not to exceed $X,XXX as summarized below, and per the attached cost breakdown.

These include architects, engineers, landscape architects, professional interns, designers, CADD technicians, project managers, GIS and environmental specialists, specification writers, clerical/administrative support, and others engaged in the Work. In determining compensation for a given Scope of Work, the City reserves the right to recommend the use of the Consultant employees at particular Wage Rate levels.

FEE BASIS. The Fees for Red Hat Online Subscriptions are based on the level of Support Service, the number of users, platform features and other identified metrics (these metrics collectively are referred to as “Units”). You agree to pay Red Hat (either directly or through a Business Partner) the applicable Fees for all Units. Units for the Red Hat Online Subscriptions are defined in Exhibit A. If your utilization or deployment of one or more Red Hat Online Subscriptions exceeds the number of Units that you have purchased, you are required to purchase additional Red Hat Online Subscriptions in a quantity equal to the total number of Units that you use or deploy.

Schedule 1 identifies the professions, job categories or employees expected to be used during the term of this Agreement. Said Wage Rates are the effective direct hourly rates, as approved by the Town, of Consultant’s employees in the specified professions and job categories that are to be utilized to provide the Services under this Agreement, regardless of manner of compensation. Payments for Services will be paid in accordance with Schedule 2. Upon completion of a task and its acceptance of the task by the Town the Consultant may submit an invoice to the Town for payment. Consultant must use the Town’s Standard Consultant Invoice Form. All payments will be issued in accordance with the State of Florida Local Government Prompt Payment Act.

FEE BASIS. The Fees are based on the number of Units and other metrics as described below. You agree to pay Red Hat (either directly or through a Business Partner) the applicable Fees for all Units. The specific Unit for each Online Service is set forth in Exhibit A. If your utilization or deployment exceeds the number of Units, including the applicable Capacity, that you have purchased, you are required to purchase or pay for additional Online Services in a quantity equal to the total number of Units that you use or deploy.
