Fixed Contract Price. In consideration of the Contractor’s performance of the Work pursuant to this Agreement, the Owner shall pay to the Contractor as compensation therefore, no more than the sum of twelve million one thousand three hundred eighty-two dollars ($12,001,382) (the “Fixed Contract Price”), subject to adjustment and final reconciliation pursuant to the terms of this Agreement and all applicable sales, use, purchase or similar taxes (collectively, the “Sales Taxes”). The breakdown of the Fixed Contract Price is attached hereto as Schedule 6. The Parties expressly agree that Schedule 6 is based upon certain reasonable cost assumptions. On a monthly basis, Actual Costs shall be reconciled against the Fixed Contract Price.
Fixed Contract Price. 6.1 The prices indicated in the Form of Quotation are firm and fixed and not subject to any adjustment during contract performance.
Fixed Contract Price. Except as set forth in Section 6.2, Section 9.2 or Section 3.4 of this Agreement or unless otherwise expressly provided by the terms of this Agreement, there shall be no increase in the Contract Price or extension in the Guaranteed Project Substantial Completion Date except as agreed in writing by the Parties or otherwise expressly provided by this Agreement. In confirmation and furtherance thereof, Seller acknowledges and agrees that there shall be no adjustment in the Contract Price as a result of differing conditions at the Project Real Property than anticipated by Seller, the EPC Contractor, or any other counterparty to a Material Project Contract, or for any other reason related to risks related to the development, design, procurement and construction of the Project unless such events are an Excusable Event or a result of an Excusable Event. 5
Fixed Contract Price. Design/Builder agrees that the fixed price Owner shall pay to the Design/Builder for the completion of all Design Services and all Work described in the Contract Documents to complete the Project in accordance with the Detailed Design and the Design Documents, and the purposes of the Project, as identified by Owner, shall be the sum of (spell out amount) ($x,xxx,xxx.xx) (the “Fixed Contract Price.”) The Fixed Contract Price shall not be modified unless all conditions precedent to a change in the Fixed Contract Price have been satisfied, including the execution of a Change Order in accordance with the requirements of this Agreement.
