Formal Proceedings. Formal proceedings for the resolution of a Dispute may be commenced after the earlier of (i) the designated representatives concluding that amicable resolution of the Dispute through continued negotiation does not appear likely, or (ii) ninety (90) days after the initial request to negotiate the Dispute, except for Disputes related to disputed amounts in invoices, for which such time period shall be thirty (30) days. Notwithstanding the foregoing, each Party may institute formal proceedings at any time in order to avoid the expiration of any applicable limitations period, to preserve a superior position with respect to other creditors, or to seek equitable relief.
