Common use of Further Action; Instruments of Transfer Clause in Contracts

Further Action; Instruments of Transfer. Each of FCB and Bancorp covenants and agrees with SFC and SNB that it (a) will use commercially reasonable efforts in good faith to take or cause to be taken all action required of it under this Agreement as promptly as practicable so as to permit the consummation of the transactions described herein at the earliest possible date, (b) shall perform all acts and execute and deliver to SFC and SNB all documents or instruments required of it herein, and (c) will cooperate with SFC and SNB in every way in carrying out and pursue diligently the expeditious completion of such transactions.
