Give Back Space. 1.2.1 Tenant shall vacate and surrender the First Give-Back Space to Landlord no later than the Second Commencement Date. Commencing from and after the Second Commencement Date, the First Give-Back Space shall be deemed surrendered by Tenant to Landlord and Lease shall be deemed terminated with respect to the First Give-Back Space (except as to those provisions that expressly survive termination of the Lease). 1.2.2 Tenant shall vacate and surrender the Second Give-Back Space to Landlord no later than May 31, 2021 (the “Second Give-Back Date”). Accordingly, commencing from and after the Second Give-Back Date, the Second Give-Back Space shall be deemed surrendered by Tenant to Landlord and this Lease shall be deemed terminated with respect to the Second Give-Back Space (except as to those provisions which expressly survive termination of the Existing Lease). From the First Commencement Date until the Second Commencement Date, Tenant shall pay Rent for the Second Give‑Back Space in accordance with this Lease. Notwithstanding anything in the Lease to the contrary, effective as of the Second Commencement Date and continuing until the Second Give-Back Date, no Rent (including, without limitation, Direct Expenses) shall be due for the Second Give-Back Space. 1.2.3 Tenant shall vacate and surrender the Third Give-Back Space to Landlord no later than May 31, 2022 (the “Third Give-Back Date”). Accordingly, commencing from and after the Third Give-Back Date, the Third Give-Back Space shall be deemed surrendered by Tenant to Landlord and the Lease shall be deemed terminated (except as to those provisions which expressly survive termination of the Lease) as to such space. Notwithstanding the foregoing, Tenant shall have the right to sooner terminate occupancy of the Third Give-Back Space by delivering six (6) months’ prior written notice to Landlord (the “Third Give-Back Early Termination Notice”), in which case the Lease with respect to the Third Give-Back Space shall terminate as of the date that is six (6) months following Landlord’s receipt of the Third Give-Back Early Termination Notice. From the First Commencement Date until the Second Commencement Date, Tenant shall pay Base Rent for the Third Give-Back Space in accordance with this Lease. Give Back Space. As used herein, the "Give-Back Space" shall mean, collectively, the 4th Floor Premises and the 7th Floor Premises, as depicted on Exhibit A attached hereto.
Give Back Space. Landlord and Tenant hereby acknowledge and agree that, effective as of the date of the full execution and delivery of this First Amendment (the "Effective Date"), notwithstanding anything in the Lease to the contrary, (i) Tenant shall quit and surrender approximately 931 rentable (875 usable) square feet of the Premises located on the ground floor the Building, as more particularly set forth on Exhibit A, attached hereto (the "Give Back Space"), (ii) the Give Back Space shall not be a part of the Premises, and (iii) the "Premises" shall consist of approximately 57,128 rentable (54,021 usable) square feet of space. Following the Effective Date, Landlord and Tenant shall each be fully and unconditionally released and discharged from their respective obligations under the Lease with respect to the Give-Back Space.
Give Back Space. Lessor may accept or reject Lessee’s determination of the Proposed Give Back Space by written notice to Lessee within thirty (30) days following Lessor’s receipt of (i) a Give Back Notice that includes all of the items set forth in Section 4.A above and (ii) any additional information as may be reasonably requested by Lessor. If Lessor rejects the Proposed Give Back Space, then Lessor and Lessee shall use commercially reasonable efforts to mutually agree upon the Give Back Space, and if the parties cannot agree on the Give Back Space [***] Information has been omitted and submitted separately to the Securities and Exchange Commission.   • Expansion Space As used in this paragraph, the term “Expansion Space” means any space in the Building which, at any time during the Lease Term, is occupied by a Person other than Landlord under a written lease with Landlord, and the term “Tenant’s Expansion Space” means Expansion Space which Tenant has elected to lease as provided in this paragraph. Landlord agrees to notify Tenant promptly after Landlord learns that any Expansion Space is or will become available. Subject to the prior rights of other tenants to whom Landlord has granted substantially similar rights, Tenant has the option to lease any Expansion Space which Landlord notifies Tenant is or will become available. If Tenant gives Landlord notice of its exercise of this option within thirty (30) days after notification from Landlord of the availability of the Expansion Space and if no Event of Default exists when Tenant’s notice is given, this Lease will be deemed to be amended to include Tenant’s Expansion Space as part of the Premises for the remainder of the Lease Term upon all of the same terms contained in this Lease except that (i) the Rentable Area of the Premises will be amended to include Tenant’s Expansion Space; (ii) Tenant’s Share will be increased to include the rentable area of Tenant’s Expansion Space; (iii) the Term Commencement Date with respect to Tenant’s Expansion Space will be the earlier of sixty (60) days after the date on which Tenant’s Expansion Space becomes vacant and ready for occupancy (provided that date is at least sixty (60) days after Tenant exercises its option to lease the Expansion Space), or the date on which the Expansion Space is first occupied by Tenant; (iv) if Tenant’s Expansion Space contains a rentable area of 10,000 square feet or more, and if there are less than three (3) Lease Years remaining in the Lease Term, the Lease Term will be extended to include three (3) full years from the Term Commencement Date with respect to Tenant’s Expansion Space; and (v) subject to adjustment during each Fixed Rental Period as provided in Exhibit E, Basic Rent for each year of the remaining Lease Term (as it may be extended) will be the greater of (a) the Basic Rent last paid by the Person most recently occupying Tenant’s Expansion Space or (b) Market Rent determined as provided in the Rent Rider attached as Exhibit E. If Tenant exercises this option, Tenant’s Expansion Space will be leased to Tenant in its “as is” condition and Tenant will, at its expense and in compliance with the provisions of Section 7.06, design and construct all Improvements desired by Tenant for its use and occupancy. Landlord and Tenant agree to execute such amendments to this Lease and other instruments as either of them considers necessary or desirable to reflect Tenant’s exercise of this option.
