Governmental Assessments Clause Samples

The Governmental Assessments clause defines the responsibilities of the parties regarding taxes, fees, or other charges imposed by government authorities in connection with the agreement. Typically, this clause specifies which party is responsible for paying sales tax, use tax, or similar governmental assessments that may arise from the transaction. For example, it may state that the buyer is responsible for all applicable taxes except those based on the seller’s income. The core function of this clause is to allocate financial responsibility for government-imposed costs, thereby preventing disputes and ensuring clarity about who bears these obligations.
