Handling Procedures. Datascope and Masimo shall develop and implement such procedures as may be required to prevent the intentional or negligent disclosure to third parties of Confidential Information communicated to either party and its employees by the other party, including, but not limited to, advising each of its employees having access to such information under this Agreement as to their obligations of confidentiality.
