Hart-▇▇▇▇▇-▇▇▇▇▇▇. ▇▇e provisions of the Hart-▇▇▇▇▇-▇▇▇▇▇▇ ▇▇▇ are not applicable to the transactions contemplated hereby and neither the Corporation nor Seller is required to make any filings or submissions to obtain any approvals thereunder in connection herewith.
Hart-▇▇▇▇▇-▇▇▇▇▇▇. All applicable waiting periods under Hart-▇▇▇▇▇-▇▇▇▇▇▇ ▇▇▇ll have expired or terminated.
Hart-▇▇▇▇▇-▇▇▇▇▇▇. ▇▇l required Hart-▇▇▇▇▇-▇▇▇▇▇▇ ▇▇▇ings under the HSR Act shall have been completed and all applicable time limitations under such Act shall have expired without a request for further information by the relevant federal authorities under such Act, or in the event of such a request for further information, the expiration of all applicable time limitations under the Act without the objection of such federal authorities.
Hart-▇▇▇▇▇-▇▇▇▇▇▇. ▇▇l applicable waiting periods, if any, in respect of the transactions contemplated by this Agreement under the HSR Act shall have expired or been terminated.
Hart-▇▇▇▇▇-▇▇▇▇▇▇. ▇▇e Company and the Investor will assist and cooperate with each other regarding any filings required under the HSR Act and any other applicable laws and regulations. The Company and the Investor each agree to make any HSR Act and other filings promptly upon the other's request.

Hart-▇▇▇▇▇-▇▇▇▇▇▇. ▇▇ filing or report under the Hart-▇▇▇▇▇-▇▇▇▇▇▇ ▇▇▇ shall be necessary in connection with the consummation of the transactions contemplated hereby.
Hart-▇▇▇▇▇-▇▇▇▇▇▇. ▇ll applicable waiting periods with respect to any "Notification and Report Form For Certain Mergers and Acquisitions" required to be filed by Parent, the Company or any of their "ultimate parent entities" in compliance with the H-S-R Act in connection with the transactions contemplated hereby shall have passed, or early termination of such waiting periods shall have been granted.
Hart-▇▇▇▇▇-▇▇▇▇▇▇. ▇s soon as possible after the date hereof, each of PSINet and IXC shall cause its ultimate parent to prepare and file all documents with the Federal Trade Commission and the United States Department of Justice as is required to comply with the Hart-▇▇▇▇▇-▇▇▇▇▇▇ ▇▇▇itrust Improvements Act of 1976 ("Hart-▇▇▇▇▇-▇▇▇▇▇▇ ▇▇▇") and thereafter shall cause its ultimate parent to promptly furnish all materials thereafter requested by any of the regulatory agencies having jurisdiction over such filings.
Hart-▇▇▇▇▇-▇▇▇▇▇▇. ▇▇e waiting period under the HSR Act shall have expired or been terminated.
