Implied Conditions Sample Clauses

The Implied Conditions clause establishes that certain terms or obligations are automatically included in a contract, even if they are not expressly stated. These conditions typically arise from statutory law or established business practices and may relate to aspects such as the quality of goods, fitness for a particular purpose, or the right to sell. For example, in a sale of goods contract, there may be an implied condition that the goods are free from defects. The core function of this clause is to ensure fairness and protect parties by filling gaps in the contract, thereby reducing the risk of disputes over unspoken but expected obligations.
