Inclusion of a cross-section of districts and communes considered by the project to be doing well and not so well in terms of capacity building efforts and engagement in the project. Beneficiaries: 1. In each community site visited, beneficiary children in the three target age groups will be met: 5- 11, 12-14 and 15-17 years, comprising approximately equal numbers of female and male beneficiaries. The sample will include recipients of the range of project education and vocational training services. 2. A cross-section of family members will be met per community, including those who have taken up livelihoods services and those who have not. Time permitting, representatives of national agencies with responsibility for child labor, for example, the Technical Working group for Child Labour, Ministry of Labour and Vocational training, the E-TWG and the Cambodia National Council for Children will be met and other relevant national agencies with whom the project has had direct interactions with these agencies. Given time constraints a small number of specific representatives will be selected for interview in consultation with the Project, who are able to comment on the role of the project in advancing the national agenda on child labor 4. Representatives of other development partners working on child labor issues with whom the project has interacted or intends to interact. The data collection methods will comprise a combination of individual interviews and focus group discussions with representatives of all key stakeholders, including direct and indirect beneficiaries and implementing partners. The evaluation instruments will comprise a set of question guides for individual interviews and focus group discussions per stakeholder group that will be developed by the evaluator prior to the field visit to address the evaluation questions. A 20 m/s wind (Case 1) in the wave direction causes an increase of the significant wave height by as much as 1.0 m . Inclusion of a technical report dated May 1, 2011, entitled “Rogers Gold Man Placer / Mineral Project, NI 43-101 Technical Report, Historical Review” by ▇▇▇▇▇ ▇▇▇▇▇▇ (Report). The Report failed to comply with the requirements of NI 43-101, Standard of Disclosure for Mineral Projects. Deficiencies included: (a) The Report stated the property contained a current inferred resource of 382,500 cubic meters at a grade of 14.09 grams gold/cu. meter, which the Report described as a “secure average.” However, the Report did not include data suitable for the estimation of any quantity or grade of a resource, and there was no data verification. In addition, the Report did not provide the information required by section 3.4 of NI 43-101 to support a resource. (b) The Report contained estimates of historical mineral resources and reserves on adjacent or nearby properties that did not comply with the requirements of items 17(b), (c), and (e) of form 43-101F1 (Form). (c) The Report did not illustrate the geology and the areas of historical exploration in adequate detail, as required by item 26(a) of the Form. (d) The certificate of qualified person did not indicate the date and title of the technical report to which the certificate applies.

  • Exclusion of other or implied variations Except for a document which satisfies the requirements of Clauses 27.1 and 27.2, no document, and no act, course of conduct, failure or neglect to act, delay or acquiescence on the part of the Creditor Parties or any of them (or any person acting on behalf of any of them) shall result in the Creditor Parties or any of them (or any person acting on behalf of any of them) being taken to have varied, waived, suspended or limited, or being precluded (permanently or temporarily) from enforcing, relying on or exercising: (a) a provision of this Agreement or another Finance Document; or (b) an Event of Default; or (c) a breach by the Borrower or a Security Party of an obligation under a Finance Document or the general law; or (d) any right or remedy conferred by any Finance Document or by the general law, and there shall not be implied into any Finance Document any term or condition requiring any such provision to be enforced, or such right or remedy to be exercised, within a certain or reasonable time.

  • Provision of Access Subject to the terms of this Agreement, Flock hereby grants to Agency a non-exclusive, non-transferable right to access the features and functions of the Services via the Web Interface during the Term, solely for the Authorized End Users. The Footage will be available for Agency’s designated administrator, listed on the Order Form, and any Authorized End Users to access and download via the Web Interface for thirty (30) days. Authorized End Users will be required to sign up for an account and select a password and username (“User ID”). Flock will also provide Agency with the Documentation to be used in accessing and using the Services. Agency shall be responsible for all acts and omissions of Authorized End Users, and any act or omission by an Authorized End User which, if undertaken by Agency, would constitute a breach of this Agreement, shall be deemed a breach of this Agreement by Agency. Agency shall undertake reasonable efforts to make all Authorized End Users aware of the provisions of this Agreement as applicable to such Authorized End User’s use of the Services and shall cause Authorized End Users to comply with such provisions. Flock may use the services of one or more third parties to deliver any part of the Services, (such as using a third party to host the Web Interface for cloud storage or a cell phone provider for wireless cellular coverage) which makes the Services available to Agency and Authorized End Users. Warranties provided by said third party service providers are the agency’s sole and exclusive remedy and ▇▇▇▇▇’s sole and exclusive liability with regard to such third-party services, including without limitation hosting the Web Interface. Agency agrees to comply with any acceptable use policies and other terms of any third-party service provider that are provided or otherwise made available to Agency from time to time.

  • Exclusion of Other Rights The Series A Preferred Stock shall not have any preferences or other rights, voting powers, restrictions, limitations as to dividends or other distributions, qualifications or terms or conditions of redemption other than expressly set forth in the Certificate of Incorporation and this Certificate of Designations.

  • Presumption of Assent A Director present at a meeting shall be presumed to have assented to action taken, unless the dissent of such Director is entered in the minutes of the meeting or unless such Director files a written dissent to such action with the other Directors before the adjournment thereof or forwards such dissent by mail to the other Directors immediately after the adjournment thereof. Such right to dissent shall not apply to a Director who voted in favor of an action.
