Independent Evaluator Clause Samples
The Independent Evaluator clause designates a neutral third party to assess specific aspects of a contract or project, such as performance, compliance, or dispute resolution. This evaluator is typically selected by mutual agreement of the parties and is tasked with providing unbiased opinions or determinations based on established criteria. By involving an independent expert, the clause helps ensure objectivity and fairness in situations where the parties may have conflicting interests or interpretations, thereby reducing the risk of disputes and facilitating smoother contract administration.
Independent Evaluator. At the beginning of the demonstration period, the state must acquire an independent party to conduct an evaluation of the demonstration to ensure that the necessary data is collected at the level of detail needed to research the approved hypotheses. The independent party must sign an agreement to conduct the demonstration evaluation in accord with the CMS-approved, draft evaluation plan. For scientific integrity, every effort should be made to follow the approved methodology, but requests for changes may be made in advance of running any data or due to mid- course changes in the operation of the demonstration.

Evaluation Design and Implementation. The State must submit a draft updated evaluation design for MassHealth 1115 demonstration to CMS no later than June 30, 2018. Such revisions to the evaluation design and the STCs shall not affect previously established timelines for report submission for the insert old demo name, if applicable. The state must submit a final evaluation design within 60 days after receipt of CMS’ comments. Upon CMS approval of the evaluation design, the state must implement the evaluation design and submit their evaluation implementation progress in each of the quarterly and annual progress reports, including the rapid cycle assessments as outlined in the Monitoring Section of these STCs. The final evaluation design will be included as an attachment to the STCs. Per 42 CFR 431.424(c), the state will publish the approved evaluation design within 30 days of CMS approval. The state must implement the evaluation design and submit their evaluation implementation progress in each of the Quarterly and Annual Reports as outlined in STC 81.
Independent Evaluator. Lessor shall permit Lessee's representatives to participate in Lessor's regularly scheduled design, construction and start-up progress meetings. Such meetings shall take place starting on the Construction Effective Date and shall occur no less than once every thirty (30) days and shall continue throughout the Construction Term.
Independent Evaluator. Independent Evaluator. The Recipient shall securely transmit these data to support evaluation, on a schedule and using a medium agreed upon with the Independent Evaluator, to the Independent Evaluator’s location. Data collected for use by the Independent Evaluator shall be considered “owned” by the USDOT. The Recipient shall transmit only those data required to support evaluation by the Independent Evaluator; any additional data that the site collects for its own use shall also be stored in its own secure data storage system, but kept separate from data required by the Independent Evaluator and the USDOT. However, the Recipient may use data collected for the Independent Evaluator in its own analyses.”
Independent Evaluator. The Independent Evaluator (“IE”) for this PPA is ▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ of ▇▇▇▇▇▇ Seco Consulting. The IE participated in the negotiation’s material discussions and communications, evaluated the PPA, and concluded that the PPA merits CPUC approval. Any findings of the IE to the PRG regarding the application solicitation, the project bid, and/or contract negotiations are contained in Confidential Appendix C and Public Appendix H.
Independent Evaluator. Indicate and describe the process the state will follow to acquire an independent entity or entities to conduct the evaluation (either a competitive procurement or those with an existing contractual relationship with the state). Include the timeframe for the independent evaluator to begin and complete the evaluation work.
Independent Evaluator. An independent third-party, appointed in accordance with Section 2.08, to review breaches of representations and warranties as provided in Section 2.05.
Independent Evaluator. This includes a discussion of the state’s process for obtaining an independent entity to conduct the evaluation, including a description of the qualifications that the selected entity must possess, and how the state will assure no conflict of interest. Explain how the state will assure that the Independent Evaluator will conduct a fair and impartial evaluation, prepare an objective Evaluation Report, and that there would be no conflict of interest. The evaluation design should include “No Conflict of Interest” signed by the independent evaluator.
