Initial Extension of Credit. The obligation of Lenders to make the initial Credit Extension hereunder is subject to the condition precedent that Administrative Agent shall have received all of the following, each dated (unless otherwise indicated or otherwise specified by Administrative Agent) the Closing Date, in form and substance satisfactory to Administrative Agent:

i. The WV-Debtors shall be in compliance with all terms and conditions of the Loan Documents and the Orders.

The Bankruptcy Court shall have entered the Interim Order in form and substance satisfactory to Lender authorizing the transactions contemplated in the Loan Documents, authorizing the granting of the superpriority claim and the liens contemplated herein, and finding that Lender is extending financing to WV- Debtors in good faith and Lender is entitled to the benefits of the provisions of 11 U.S.C. §364(e), which Order shall not have been reversed, modified, amended, stayed or subject to a motion for reargument or reconsideration.
iii. Negotiation and execution of the Loan Documents and all other documents and agreements, and completion of all filings for the benefit of Lender, related thereto or contemplated herein or therein.
iv. Receipt by Lender of all of WV-Debtors’ “first-day” motions prior to filing with the Bankruptcy Court in a form reasonably satisfactory to Lender, and the “first- day” orders pertaining thereto shall have been entered by the Bankruptcy Court and shall be in form and substance reasonably satisfactory to Lender.
v. Receipt and approval by Lender of the Budget.
vi. Since the Petition Date, there shall be no Material Adverse Effect to WV-Debtors or their business or operations or assets or financial condition other than as may result from the filing of the Bankruptcy Cases.
vii. Submission by WV-Debtors to Lender of a Borrowing Certificate executed by an officer of WV-Debtors not more than one (1) time per calendar week, and at least 48 hours prior to any payment deadline, identifying the total amount sought to be borrowed by WV-Debtors and detailing the expenses or disbursements sought to be paid by WV-Debtors from the particular funding request.
Initial Extension of Credit. The obligation of each Lender to make its initial Loan under this Agreement is subject to completion of Lenders' due diligence review of each of the Loan Parties and the receipt by the Administrative Agent, on or before the Closing Date, of all of the following in form and substance satisfactory to the Administrative Agent and, in the case of actions to be taken, the taking of the following required actions and evidence that such actions have been taken to the satisfaction of the Administrative Agent:
