Initial License. G3 hereby grants Spectre, for the entire term of this Agreement, an exclusive license to: (i) utilize and commercially exploit the Games delivered hereunder, together with all software, trademarks, service marks and other intellectual-property rights comprising any part of the Games, in adult-entertainment centers in the United States in “video redemption games” only, as that term is defined above.; and (ii) manufacture, and contract for the manufacture of the Games within “video redemption games” only, as that term is defined above. The license granted hereunder shall extend to Spectre’s contract manufacturers retained by Spectre for the purpose of manufacturing ”video redemption games” only, as that term is defined above, embodying the Games. This license shall only be applicable to Games placed by Spectre on a recurring “per game per day” basis. Sale of the Games may be agreed to by mutual consent of the parties.
Initial License.
A. The TLA will send requests for references to the persons listed as references on the application form, using form letter Tribal ▇▇▇▇▇▇ Care License Reference and enclosing the ▇▇▇▇▇▇ Parent Reference Questionnaire form. In addition, the TLA:
1. may contact the references in person or by phone;
2. must ensure that questionnaire forms are completed for the applicant;
3. will initiate the process for obtaining fingerprints, child protection, and criminal justice system information (see section 4.1 and 4.
B. The TLA will review the initial application packet, and the results of the safety checks and information provided by the references, to determine whether there are any barriers to licensing the home, based on the standards. Barriers include criminal history records or CPS records that do not comply with the standards. If barriers exist the TLA will send the form letter Tribal ▇▇▇▇▇▇ Care Notice of License Denial within 45 days with an explanation why the license was denied.
C. If there are no grounds for denying the license, the TLA will initiate the second phase of the licensing process. The TLA will contact the applicant to provide information about the next steps in the licensing process, including completion of additional forms and an evaluation of the applicant’s home; this includes:
1. scheduling a home visit to discuss and assist in the licensing process; and
2. providing a licensing packet to the applicants. The packet may be provided during the home visit and, when applicable, the TLA will assist the applicant with completing the forms. A licensing packet consists of the following forms: • Health History for the licensing applicant and all household members • Fire Escape Plan • ▇▇▇▇▇▇ Home Disaster Plan • ▇▇▇▇▇▇ Family Characteristics Questionnaire • Parenting and Discipline Questionnaire
Initial License. The term of the License (the “License Term”) shall commence from the day the License Pack was received by Customer and shall continue for one
(1) year. The License Pack shall be deemed to be received by Customer on the day EIE sends the License Pack to Customer by email.
Initial License. Party B hereby grants to Party A a non-exclusive, non-transferable, worldwide license to utilize, market, and commercialize the Licensed Products, including VXAds and VXMonitor, under Party A’s name or its brand name, “Voltage X,” for a period of three (3) years from the Effective Date (“Initial License Term”).
