Issuance of Common Stock on Exercise Clause Samples

The 'Issuance of Common Stock on Exercise' clause defines the process by which a holder of a warrant or option can acquire shares of common stock by exercising their rights under the agreement. Typically, this clause outlines the steps required for exercise, such as submitting a notice and payment of the exercise price, and specifies the timeline within which the company must issue the shares after receiving the exercise request. Its core practical function is to ensure that both parties understand the mechanics and timing of converting rights into actual equity, thereby providing certainty and transparency in the execution of equity grants or convertible securities.
