Common use of Keeping Records Clause in Contracts

Keeping Records. (i) The Seller will, and will cause the Originators to, have and maintain (A) administrative and operating procedures (including an ability to recreate Records if originals are destroyed), (B) adequate facilities, personnel and equipment and (C) all Records and other information necessary or advisable for collecting the Receivables (including Records adequate to permit the immediate identification of each new Receivable and all Collections of, and adjustments to, each existing Receivable). The Seller will give the Agent prior notice of any material change in such administrative and operating procedures. (ii) The Seller will, (A) at all times from and after the date hereof, clearly and conspicuously m▇▇▇ its computer and master data processing books and records with a legend describing the Agent’s and the Purchasers’ interest in the Receivables and the Collections and (B) upon the request of the Agent after a Termination Event, so m▇▇▇ each contract relating to a Receivable and deliver to the Agent all such contracts (including all multiple originals of such contracts), with any appropriate endorsement or assignment, or segregate (from all other receivables then owned or being serviced by the Seller) the Receivables and all contracts relating to each Receivable and hold in trust and safely keep such contracts so legended in separate filing cabinets or other suitable containers at such locations as the Agent may specify.

(ii) The Seller willshall, (A) at all times from and after the date hereof, clearly and conspicuously m▇▇▇ its computer and master data processing books and records with a legend describing the Agent’s and the Purchasers’ interest in the Receivables and the Collections and (B) upon the request of the Agent after a Termination EventAgent, so m▇▇▇ each contract relating to a Receivable and deliver to the Agent all such contracts (including all multiple originals of such contracts)) that constitute collateral in which perfection of a security interest can be obtained by possession under the Uniform Commercial Code, with any appropriate endorsement or assignment, or segregate (from all other receivables then owned or being serviced by the Seller) the Receivables and all contracts relating to each Receivable and hold in trust and safely keep such contracts so legended in separate filing cabinets or other suitable containers at such locations as the Agent may specify.

(ii) The Seller will, (A) at all times from and after the date hereof, clearly use its best efforts to identify the Agent's and conspicuously m▇▇▇ the Purchasers' interest in the Sold Receivables and the Collections on its computer and master data processing books and records with a legend describing the Agent’s and the Purchasers’ interest in the Receivables and the Collections and (B) upon the request of the Agent after a Termination Eventin the case of Sold Receivables constituting chattel paper, so m▇▇▇▇ each contract relating to a Sold Receivable and deliver to the Agent all such contracts (including all multiple originals of such contracts), with any appropriate endorsement or assignment, or segregate (from all other receivables then owned or being serviced by the Seller) the Sold Receivables and all contracts relating to each Sold Receivable and hold in trust and safely keep such contracts so legended in separate filing cabinets or other suitable containers at such locations as the Agent may specify.

Keeping Records. (i) The Seller will, and will cause the Originators Originator to, have and maintain (A) administrative and operating procedures (including an ability to recreate Records if originals are destroyed), (B) adequate facilities, personnel and equipment and (C) all Records and other information necessary or advisable for collecting the Transferred GE Capital Corporation/Blue Hill II, Inc. Amended and Restated Receivables Purchase and Servicing Agreement Receivables (including Records adequate to permit the immediate identification of each new Transferred Receivable and all Collections of, and adjustments to, each existing Receivable). The Seller will give the Administrative Agent and the Purchaser Agents prior notice of any material change in such administrative and operating procedures. (ii) The Seller will, (A) at all times from and after the date hereof, clearly and conspicuously m▇▇▇▇ its computer and master data processing books and records with a legend describing the Administrative Agent’s and 's interest (on behalf of the Purchasers’ interest ) in the Transferred Receivables and the Collections and (B) upon the request of the Agent after a Termination Event, so m▇▇▇▇ the original copy (or the replacement copy with respect to which a Chattel Paper Agreement has been executed by the Originator) of each contract relating to a Transferred Receivable that consists of chattel paper and deliver to the Administrative Agent all such contracts (including all multiple originals of such contracts), with any appropriate endorsement or assignment, or segregate (from all other receivables then owned or being serviced by the Seller) the Transferred Receivables and all contracts relating to each Transferred Receivable and hold in trust and safely keep such contracts so legended in separate filing cabinets or other suitable containers at such locations as the Administrative Agent may specify.

Keeping Records. (i) The Seller Borrower will, and will cause the Originators each Originator to, have and maintain (A) administrative and operating procedures (including an ability to recreate Records if originals are destroyed), (B) adequate facilities, personnel and equipment and (C) all Records and other information necessary or advisable for collecting the Receivables (including Records adequate to permit the immediate identification of each Obligor, each new Receivable and all Collections of, and adjustments to, each existing Receivable). The Seller Borrower will give the Administrative Agent prior notice of any material change in such administrative and operating procedures. (ii) The Seller Borrower will, (A) at all times from and after the date hereof, clearly and conspicuously mmark ▇▇▇ its computer and master data processing books and records with a legend describing the Administrative Agent’s 's and the Purchasers’ Lenders' interest in the Receivables and the Collections therein and (B) upon the request of the Agent after a Termination EventAdministrative Agent, so mmark ▇▇▇ each ▇h contract relating to a Receivable and deliver to the Administrative Agent all such contracts (including all multiple originals of such contracts), with any appropriate endorsement or assignment, or segregate (from all other receivables then owned or being serviced by the SellerBorrower) the Receivables and all contracts relating to each Receivable and hold in trust and safely keep such contracts so legended in separate filing cabinets or other suitable containers at such locations as the Administrative Agent may specify.
