Lawfulness of Processing. 7.1.1 The Controller shall ensure and guarantees that during the whole duration of this Agree- ment:
7.1.1.1 all Personal Data disclosed by the Controller to the Processor for Processing any- how related to the Primary Service were collected by legal and legitimate manners according to the Directive, or any other applicable law;
7.1.1.2 consent of the Data Subject is given for Processing of the respective Personal da- ta by the Processor, such consent is given freely and in accordance to the Article 7 of the Directive and that the consent is valid for the whole time of Processing and was not withdrawn by the Data subject;
7.1.1.3 other conditions of lawful processing according to the Article 6 of the Directive ap- ply if consent of the Data Subject was not given;
7.1.1.4 no Personal data falling into special category of Personal data as specified in the Article 9 of the Directive were disclosed to the Processor.
7.1.2 In case any condition stipulated in the clause 7.1.1. is not met at any time of the Data Processing by the Processor or during the duration of this Agreement, Controller must notify the Processor in the most expedient time possible under the circumstances and without reasonable delay and, where feasible, not later that 72 hours after having be- come aware of such deficiency. Controller also must exclude such Personal Data from Processing by himself (mainly by erasing such Personal Data from the Controllers Prima- ry Service) and if not possible provide to Processor all necessary assistance to except such Personal Data from Processing.
Lawfulness of Processing. Each party shall have a lawful basis pursuant to Article 6 GDPR and its equivalent provisions in the UK GDPR for Processing Personal Data processed and disclosed to the other party under the Agreement.
Lawfulness of Processing. The obligations of the Processor regarding the protection of Personal Data shall be fulfilled by the Processor for the entire term of the agreement as amended by the Terms unless it is clear from the Terms, this Processing Agreement, or applicable law that they are to continue after the termination of the agreement.

The Controller and the Processor undertake to comply with the regulations governing the protection of personal data, including related regulations (for example, Act No. 127/2005 Coll., on electronic communications governing the processing of cookies and other tracking technologies).

Notwithstanding anything to the contrary in this Agreement, if a Downstream Participant reasonably determines that it cannot Process Personal information it receives in Covered Transaction in compliance with Applicable State Privacy Law or this Agreement, it shall cease Processing such Personal Information.

For Personal Data Processed in connection with the Registration Data Directory Services, such Processing will take place on the basis of consent of the data subjects concerned or a legitimate interests of the Controller or of the third party or parties to whom the Personal Data are disclosed, except where such interests are overridden by the interests or fundamental rights and freedoms of the data subject which require protection of Personal Data, in particular where the data subject is a child. For other Personal Data collected for other purposes, such Personal Data SHALL NOT be Processed unless a legal basis specified under Article 6(1) GDPR applies.
Lawfulness of Processing. Each Party acknowledges and confirms that: (a) it will comply with applicable Data Protection Laws and Regulations and this DPA in connection with its Processing of Personal Data; (b) it will only give lawful instructions to any Processors and/or Sub-Processors; (c) it will be responsible for determining the legal basis(es) of its own Processing activities; and (d) it will provide the other Party with reasonable assistance, information and cooperation as such Party may reasonably request to ensure compliance with the Parties’ respective obligations under Data Protection Laws and Regulations.
