Legacy Accounts. (A) The Parent Group shall maintain the Legacy Accounts in accordance with the terms of the Legacy Accounts and applicable Law through the Distribution Date. (B) Effective on the Distribution Date, Parent may transfer to a member of the SpinCo Group the Legacy Accounts. If such Legacy Accounts are transferred to a member of the SpinCo Group, (x) SpinCo shall assume all the Legacy Accounts and all related assets, liabilities and responsibilities of such Legacy Accounts and (y) the Parent Group (excluding the SpinCo Group) shall cease to have any liability or responsibility with respect to the Legacy Accounts immediately following the Distribution Date. Notwithstanding anything to the contrary, Parent shall retain the responsibility to distribute SpinCo stock in accordance with the Separation Agreement. Except as otherwise provided in this Appendix E with respect to the Legacy Accounts: (i) the SpinCo Group assumes no Liability with respect to, and receives no right or interest in, any Parent Share Plan; and (ii) the Parent Group shall retain all of the purchase plans sponsored or maintained by a member of the Parent Group, including all of the Parent Share Plans.
Legacy Accounts. In the case of any mandatory or optional redemption in full of any Class or Series of Notes issued pursuant to this Base Indenture, on the Notes Discharge Date with respect to such Class or Series of Notes, the Issuer may (but are not required to) elect to have all or any portion of the funds held in any Legacy Account with respect to such Class, Subclass, Tranche or Series of Notes transferred to the applicable distribution account for such Class, Subclass, Tranche or Series of Notes, for application toward the prepayment of such Class or Series of Notes; provided that the foregoing shall not limit any provisions set forth in the applicable Series Supplement. If the Issuer does not elect to have such funds so transferred, or if the Issuer elect to have only a portion of such funds so transferred, any funds remaining in the applicable Legacy Account after the applicable Notes Discharge Date shall be deposited into the Collection Account for application in accordance with the Priority of Payments. When the balance of any Legacy Account has been reduced to zero, the Trustee may close such account. The Trustee shall make the distributions and transfers and shall close any accounts as contemplated by this Section 5.8 pursuant to instructions delivered by the Issuer to the Trustee.

Legacy Accounts. The Legacy Accounts as described in the Seller Disclosure Schedule held by the Bank are maintained in accordance with the terms set forth on the Seller Disclosure Schedule and comply with all applicable insurance industry laws and regulations.
Legacy Accounts. Seller and Bank agree to continue the “Legacy Accountrelationship between the Bank and Seller through Closing consistent with prior practices. Buyer agrees to service and maintain all Legacy Account deposits that are held by the Bank at Closing in accordance with all applicable insurance industry regulations. Included in the Seller Disclosure Schedule is a true and complete description of the account terms and conditions applicable to the Legacy Account.
