The ▇▇▇▇▇ Cards issued to Payees of Client may be referred to herein collectively as the “Cards” or each a “Card” and Payees of Client who receive a Card may be referred to herein collectively as “Cardholders” or each a “Cardholder”. Client agrees that it will only direct legal payments to the Cards for wages, benefits, commissions, consulting fees, similar compensation or work-related expenses. In addition, unless approved by ADP in writing, Client agrees that it may not make Cards available to individuals residing in any country other than the United States. Client shall not mail, distribute, transport or otherwise provide Cards to any individual outside the United States without the express written consent of ADP. Client agrees that it shall not unduly influence a ▇▇▇▇▇’s decision with respect to the choice of using an ▇▇▇▇▇ Card for wage payments. ADP shall not be obligated to provide the Wage Payment Card Services unless Client has met and continues to meet its obligations hereunder, including, without limitation, adherence to ADP’s instructions and procedures delivered to Client in connection with the Wage Payment Card Services and Client has executed and delivered to ADP the applicable documents, forms or instruments necessary for ADP to render to Client the Wage Payment Card Services. Such documents, forms or instruments shall remain in full force and effect until terminated by Client and until ADP and Client’s bank shall have had a reasonable opportunity to act thereon. If Client desires to change the account from which ADP obtains funds for the Wage Payment Card Services, Client shall provide new required documents for any new account to ADP at least twenty (20) days prior to the effective date of such change.
