Licensor Approval. All Licensed Products developed, manufactured and sold hereunder, and all labels, hang tags, packaging, catalogs, brochures, publications, printed matter, advertising, signs, promotional displays, websites, webpages, video and sound recordings, online social media pages and other forms of publicity material for the Licensed Products, shall be in English and subject to Licensor’s written approval in advance of use, distribution, marketing or sale.

Licensor Approval. Other than the existing AeroGarden Products, the Licensee shall not sell any Licensed Products until the Licensor, in its reasonable judgment, finds that such products in mass production quantities are satisfactory to the Licensor. The license to the Licensee granted by this Agreement to distribute the Licensed Products under the Licensed Trademarks is expressly contingent upon such final written approval by the Licensor. Other than the existing AeroGarden Products for the initial Contract Year, by no later than sixty (60) days prior to distribution and sale of each Licensed Product, the Licensee shall provide the Licensor for its prior written approval (a) a list of each of the Licensed Products, including SKU numbers, proposed MSRP (manufacturer suggested retail price) and product specifications, as well as product samples for each; and (b) the distribution and marketing plans for the Licensed Products, including proposed distribution channels, marketing and advertising spend, marketing and advertising channels and media plan, and related information.

Licensor Approval. In all circumstances where any furniture, fixtures, equipment, and/or personal property might reasonably be anticipated to affect the physical condition or operation of the Arena, Licensor shall have the reasonable right to determine the type and weight of any such furniture, fixtures, equipment, and/or personal property of every type brought into the Arena by Licensee; provided, however, these prerogatives of Licensor shall be exercised by Licensor in a good faith manner which does not unreasonably interfere with usage of the Licensed Premises by Licensee for the purposes herein provided, but in accordance with the design criteria of the Arena and, where applicable, the standards of other reasonable prudent operators of arenas which are comparable with the Arena.
Licensor Approval. Provided that Seller shall have paid all amounts due to Licensor that are accrued and unpaid under the License Agreement as of the Closing Date, Licensor shall be prepared to execute and deliver a new license agreement with Purchaser consistent with the Licensor Approval obtained during the Study Period. If Purchaser did not obtain Licensor Approval prior to the expiration of the Study Period, this condition shall not be applicable to Purchaser.
