Loyalty Programs. The Parent will, and will cause each of its Subsidiaries to, take all actions necessary to maintain the existence, business and operations of the Carrier Loyalty Programs as in effect on the Closing Date or on terms at least as favorable to the Lenders, as determined by the Appropriate Party in its sole discretion, except as otherwise expressly permitted under this Agreement.

Loyalty Programs. In some cases a loyalty program may be provided with a card, in some situations at no additional cost to you. The principal features of any loyalty program will be described in a benefits guide that accompanies the card. Loyalty Programs. Home Credit shall exert every effort to come up with loyalty programs to give Home Credit customers and mobile app users a more rewarding experience, which will in turn be beneficial to Merchant in terms of sales and brand awareness. 5.1. Automatic Equal Payment Plan (“AEPP”) 5.1.1. AEPP service enables Home Credit customers to purchase goods from Merchant using their HCCC and pay in installment at zero percent interest. 5.1.2. All Home Credit customers who will purchase products from participating stores of Merchant through their HCCC shall be eligbile to the AEPP service, without cost to the customer, if the single-receipt purchase meets the minimum purchase requirement as agreed by the Parties and provided for in the Notice of Participation. 5.1.3. All eligible HCCC transactions shall automatically be converted by the AEPP service to installment plan at zero percent interest provided that the payment was processed at any of the Merchant’s POS terminals. The conversion shall take effect on transaction posting date. 5.1.4. HCCC transactions that do not meet the conditions set forth above shall not be eligible for the AEPP service and will be treated as a straight retail transaction. 5.1.5. Merchant shall subsidize a percentage of every HCCC transaction that is converted by the AEPP service in accordance with the Notice of Participation. 5.1.6. Monthly billing and settlement instructions for the subsidy amount are outlined in Annex “B”. 5.2. Special Cashback Program (“Cashback”) 5.2.1. Merchant shall extend a cashback in the amount to be agreed by the Parties to all HCC Cardholders or Customer during the promotion period to be agreed by the Parties in the Notice of Implementation. 5.2.2. Eligible Cardholders and Customers are entitled to earn the corresponding cashback rate, in an amount to be agreed by the Parties, for every transaction in the Merchant Branches using their HCC, HC QR Code or other Home Credit products. 5.2.3. Cashback is not transferrable and is not convertible to cash or gift certificates.
Loyalty Programs. CVS will offer a loyalty program at the Pharmacies. CVS’s loyalty program at the Pharmacies will be consistent with its offering at its pharmacies that are not located in the Stores. CVS will use commercially reasonable efforts and work in good faith to facilitate a Target loyalty program at the Pharmacies at the request of Target; provided that offering such program at the Pharmacies complies with Laws and has been approved by the Governance Committee.

Loyalty Programs. (a) The Parent and the Restricted Subsidiaries shall honor Currency issued in respect of a Loyalty Program according to the policies and procedures of such Loyalty Program in effect from time to time except to the extent that would not reasonably be expected to cause a Material Adverse Effect; (b) The Parent shall take (or cause any of the Restricted Subsidiaries to take) any action permitted that it, in its reasonable business judgment, determines is advisable, in order to diligently and promptly (i) enforce its rights and any remedies available to it under the Loyalty Program Agreements in effect from time to time, (ii) perform its obligations under the Loyalty Program Agreements in effect from time to time and (iii) cause the applicable counterparties to perform their obligations under the related Loyalty Program Agreements in effect from time to time, including such counterparties’ obligations, as applicable, to make payments to and indemnify Parent (or the Restricted Subsidiary, as applicable) in accordance with the terms thereof in each case except to the extent that would not reasonably be expected to cause a Material Adverse Effect; (c) The Parent and the Restricted Subsidiaries shall not substantially reduce the business of a Loyalty Program or modify the terms of such Loyalty Program in any manner that would reasonably be expected to cause a Material Adverse Effect; (d) The Parent shall not and shall not permit any of the Restricted Subsidiaries to change the policies and procedures of such Loyalty Program in any manner that would reasonably be expected to cause a Material Adverse Effect; and (e) The Parent shall not, and shall not permit any of its Restricted Subsidiaries to, establish, create, or operate any Loyalty Program (including any Permitted Acquisition Loyalty Program), other than the Loyalty Program in effect on the Issue Date, unless: (i)(x) substantially all (A) such Loyalty Program cash payments (which excludes, for the avoidance of doubt, airline revenues such as ticket sales and baggage fees), (B) accounts in which such cash payments are deposited, (C) intellectual property and member data (but solely to the extent that such intellectual property and member data would be included in the scope of the IP Pledge), and (D) material third-party co-branding, partnering or similar agreements, including airline-to-airline frequent flyer program agreements related to or entered into in connection with such Loyalty Program, intercompany agr...
