MAE. Either:
(a) in the opinion of the Bridge Lender, an MAE shall have occurred and be continuing; or
(b) an event shall occur or circumstance shall be continuing which, in the opinion of the Bridge Lender and with the giving of notice, lapse of time and/or making of any determination of materiality, would constitute an MAE.
MAE. T. shall immediately forward a copy of the job order to the Council, as information. The Council shall inform the applicable Local Unions.
MAE. There shall not have been any Company Material Adverse Effect since the date hereof.
MAE. Since the date of this Agreement, no Material Adverse Effect shall have occurred.
MAE. There is a Material Adverse Effect.
MAE. Since the Petition Date, no Material Adverse Effect shall have occurred.
MAE. From the date of this Agreement through the Closing Date, there shall not have occurred a Material Adverse Effect;
MAE. As of each Bringdown Date, to its knowledge, no event or circumstance has or will have occurred which constitutes, or could reasonably be expected to constitute, an MAE.
MAE. No event or circumstance has occurred and is continuing that has resulted in or would reasonably be expected to result in a Material Adverse Effect as to the Project.
MAE. As at the Closing Date, no event or circumstance has occurred since December 31, 2011 which had, or would reasonably be expected to have, an MAE.
