Common use of Maintenance Programme Clause in Contracts

Maintenance Programme. 12.4.1. On or before COD and no later than 45 (forty five) days prior to the beginning of each Financial Year during the Operation Period, as the case may be, the Concessionaire shall provide to the Authority and the IE&A, its proposed annual programme of preventive, urgent and other scheduled maintenance (the “Maintenance Programme”) to comply with the Maintenance Requirements, Maintenance Manual and Safety Requirements. Such Maintenance Programme shall include: (a) preventive maintenance schedule; (b) arrangements and procedures for carrying out urgent repairs; (c) criteria to be adopted for deciding maintenance needs; (d) intervals and procedures for carrying out inspection of all elements of the Silo Complex; (e) intervals at which the Concessionaire shall carry out periodic maintenance; (f) arrangements and procedures for carrying out safety related measures; (g) intervals for major maintenance works and the scope thereof; and (h) intervals of carrying out intermediate and periodic overhaul of the equipment. Provided that the Maintenance Programme shall not schedule any closure or overhaul at any time during the Harvest Season. 12.4.2. Within 15 (fifteen) days of receipt of the Maintenance Programme, the IE&A shall review the same and convey its comments to the Concessionaire with particular reference to its conformity with the Maintenance Requirements, Maintenance Manual and Safety Requirements. 12.4.3. The Concessionaire may modify the Maintenance Programme as may be reasonable in the circumstances, and the procedure specified in Clauses 12.4.1 and 12.4.2 shall apply mutatis mutandis to such modifications. 12.4.4. Any maintenance carried out by the Concessionaire as per the Maintenance Programme under this Clause 12.4 and as notified to the Authority under the provisions of Clause 19.1.1 shall be deemed to be scheduled maintenance (the “Scheduled Maintenance”). For the avoidance of doubt, any closure, suspension or reduction of Capacity arising out of Scheduled Maintenance shall be deemed as Non-Availability of storage Capacity.

Such Maintenance Programme shall include: (a) a. preventive maintenance schedule; (b) b. arrangements and procedures for carrying out urgent repairs; (c) c. criteria to be adopted for deciding maintenance needs; (d) d. intervals and procedures for carrying out inspection of all elements of the Silo Complex;Storage Facility (e) e. intervals at which the Concessionaire shall carry out periodic maintenance; (f) f. arrangements and procedures for carrying out safety related measures;; and (g) g. intervals for major maintenance works and the scope thereof; and (h) intervals h. frequency of carrying out intermediate and periodic overhaul of the equipment. equipment Provided that the Maintenance Programme shall not schedule any closure or overhaul Major Overhaul at any time during the Harvest Season. 12.4.217.4.2. Within 15 (fifteen) days of receipt of the Maintenance Programme, the IE&A Independent Expert shall review the same and convey its comments to the Concessionaire with particular reference to its conformity with the Maintenance Requirements, Maintenance Manual and Safety Requirements. 12.4.317.4.3. The Concessionaire may modify the Maintenance Programme as may be reasonable in the circumstances, and the procedure specified in Clauses 12.4.1 17.4.1 and 12.4.2 17.4.2 shall apply mutatis mutandis to such modifications. 12.4.417.4.4. Any maintenance carried out by the Concessionaire as per the Maintenance Programme under this Clause 12.4 17.4.4 and as notified to the Authority under the provisions of Clause 19.1.1 Article 31 (suspension of services) shall be deemed to be scheduled maintenance Scheduled Maintenance (the “Scheduled Maintenance”). For the avoidance of doubt, any closure, suspension Suspension or reduction of Storage Capacity arising out of Scheduled Maintenance shall be deemed as Non-Availability of storage Storage Capacity.

For the avoidance of doubt, any Scheduled Maintenance shall not relieve the Mine Operator from its obligation to excavate and Deliver Coal in accordance with the Annual Production Programme under Clause 21.2.1, and, the Mine Operator shall be liable to pay the Damages under Clause 21.5 for any closure, suspension or reduction of Annual Capacity arising out of Scheduled Maintenance shall be deemed as Non-Availability of storage CapacityMaintenance.

Maintenance Programme. 12.4.1. 18.4.1 On or before COD and no not later than 45 forty five (forty five45) days prior to before the beginning of each Financial Year during the Operation Period, as the case may beAccounting Year, the Concessionaire Concessionaire, shall provide to the Authority and the IE&AAuthority, its proposed annual programme Programme of preventive, urgent preventive and other scheduled maintenance of the Project subject to the minimum Maintenance Requirements set forth in Maintenance Manual and in Schedule ‘L’ necessary to maintain the Project at all times in conformity with the Specifications and Standards (the “Maintenance Programme”) to comply with the Maintenance Requirements, Maintenance Manual and Safety Requirements). Such Maintenance Programme shall includeinclude but not be limited to the following: (a) preventive maintenance schedule; (b) arrangements intervals and procedures for the carrying out urgent repairsof inspection of all elements of the Project; (cb) criteria to be adopted for deciding maintenance needs; (dc) intervals and procedures for carrying out inspection of all elements of the Silo Complexpreventive maintenance schedule; (ed) intervals at which the Concessionaire shall carry out periodic maintenance; (e) intervals for major maintenance and the scope thereof; and f) arrangements and procedures for carrying out safety related measures; (g) intervals for major maintenance works and the scope thereof; and (h) intervals of carrying out intermediate and periodic overhaul of the equipment. Provided that the Maintenance Programme shall not schedule any closure or overhaul at any time during the Harvest Seasonmaintenance. 12.4.2. 18.4.2 Within 15 (fifteen) days of receipt of the Maintenance Programme, the IE&A Authority shall review the same and convey its comments to the Concessionaire with particular reference to its conformity with the Maintenance Requirements, Maintenance Manual and Safety Requirements. 12.4.3. 18.4.3 The Concessionaire may modify the Maintenance Programme as may be reasonable in the circumstances, and the procedure specified in Clauses 12.4.1 18.4.1 and 12.4.2 18.4.2 shall apply mutatis mutandis to such modifications. 12.4.4. Any maintenance carried out by the Concessionaire as per the Maintenance Programme under this Clause 12.4 and as notified to the Authority under the provisions of Clause 19.1.1 shall be deemed to be scheduled maintenance (the “Scheduled Maintenance”). For the avoidance of doubt, any closure, suspension or reduction of Capacity arising out of Scheduled Maintenance shall be deemed as Non-Availability of storage Capacity.

Provided that the Maintenance Programme shall not schedule any closure or overhaul at any time during the Harvest SeasonEquipment. 12.4.2. 16.4.2 Within 15 (fifteen) days of receipt of the Maintenance Programme, the IE&A Engineer in charge shall review the same and convey its comments to the Concessionaire Mine Operator with particular reference to its conformity with the Maintenance Requirements, Maintenance Manual and Safety Requirements. 12.4.3. 16.4.3 The Concessionaire Mine Operator may modify the Maintenance Programme as may be reasonable in the circumstances, and the procedure specified in Clauses 12.4.1 Clauses16.4.1 and 12.4.2 16.4.2 shall apply mutatis mutandis to such modifications. 12.4.4. 16.4.4 Any maintenance carried out by the Concessionaire Mine Operator as per the Maintenance Programme under this Clause 12.4 and as notified to the Authority under the provisions of Clause 19.1.1 16.4 shall be deemed to be scheduled maintenance (the “"Scheduled Maintenance”"). For the avoidance of doubt, any Scheduled Maintenance shall not relieve the Mine Operator from its obligation to excavate/extract and Deliver Coal in accordance with the Annual Production Programme as provided in theMining Plan to be prepared by the Mine Operator and, the Mine Operator shall be liable to pay the Damages under Clause 21.5 for any closure, suspension or reduction of Annual Capacity arising out of Scheduled Maintenance shall be deemed as Non-Availability of storage CapacityMaintenance.

Such Maintenance Programme shall include: (a) preventive maintenance schedule, including the proposed scheduled outages, if any, for maintenance; (b) arrangements and procedures for carrying out urgent repairs; (c) criteria to be adopted for deciding maintenance needs; (d) intervals and procedures for carrying out inspection of all elements of the Silo ComplexTransmission System; (e) intervals at which the Concessionaire shall carry out periodic maintenance; (f) arrangements and procedures for carrying out safety related measures; (g) intervals for major maintenance works and the scope thereof; and (h) intervals of carrying out intermediate and periodic overhaul of the equipment. Provided that the Maintenance Programme shall not schedule any closure or overhaul at any time during the Harvest Season. 12.4.2. 17.4.2 Within 15 (fifteen) days of receipt of the Maintenance Programme, the IE&A Independent Engineer shall review the same and convey its comments to the Concessionaire with particular reference to its conformity with the Maintenance Requirements, Maintenance Manual and Safety Requirements. 12.4.3. 17.4.3 The Concessionaire may modify the Maintenance Programme as may be reasonable in the circumstances, and the procedure specified in Clauses 12.4.1 17.4.1 and 12.4.2 17.4.2 shall apply mutatis mutandis to such modifications. 12.4.4. 17.4.4 Any maintenance carried out by the Concessionaire as per the Maintenance Programme under this Clause 12.4 17.4 and as notified to the Authority under the provisions of Clause 19.1.1 26.5.2 shall be deemed to be scheduled maintenance (the “Scheduled Maintenance”). For the avoidance of doubt, any closure, suspension or reduction of System Capacity arising out of Scheduled Maintenance shall be deemed as Non-Availability of storage System Capacity.

For the avoidance of doubt, any Scheduled Maintenance shall not relieve the Mine Operator from its obligation to excavate and Deliver Coal in accordance with the Annual Production Programme as set out under the approved Mining Plan and, the Mine Operator shall be liable to pay the Damages under Clause 21.5 for any closure, suspension or reduction of Annual Capacity arising out of Scheduled Maintenance shall be deemed as Non-Availability of storage CapacityMaintenance.

For the avoidance of doubt, any Scheduled Maintenance shall not relieve the Mine Operator from its obligation to extract and Deliver Coal in accordance with the Annual Production Programme under Clause 21.2.1, and, the Mine Operator shall be liable to pay the Damages under Clause 21.5 for any closure, suspension or reduction of Annual Capacity arising out of Scheduled Maintenance shall be deemed as Non-Availability of storage CapacityMaintenance.

Such Maintenance Programme shall include: (a) preventive maintenance schedule, including the proposed closure, if any, for maintenance; (b) arrangements and procedures for carrying out urgent repairs; (c) criteria to be adopted for deciding maintenance needs; (d) intervals and procedures for carrying out inspection of all elements of the Silo ComplexMines, Concentrator Plant and Equipment; (e) intervals at which the Concessionaire MDO shall carry out periodic maintenance; (f) arrangements and procedures for carrying out safety related measures; (g) intervals for major maintenance works and the scope thereof; and (h) intervals frequency of carrying out intermediate and periodic overhaul of the equipment. Provided that the Maintenance Programme shall not schedule any closure or overhaul at any time during the Harvest SeasonEquipment. 12.4.2. 16.4.2 Within 15 (fifteen) days of receipt of the Maintenance Programme, the IE&A HCL shall review the same and HCL shall convey its comments to the Concessionaire MDO with particular reference to its conformity with the Maintenance Requirements, Maintenance Manual and Safety Requirements. 12.4.3. 16.4.3 The Concessionaire MDO may modify the Maintenance Programme as may be reasonable in the circumstances, and the procedure specified in Clauses 12.4.1 16.4.1 and 12.4.2 16.4.2 shall apply mutatis mutandis to such modifications. 12.4.4. 16.4.4 Any maintenance carried out by the Concessionaire MDO as per the Maintenance Programme under this Clause 12.4 and as notified to the Authority under the provisions of Clause 19.1.1 16.4 shall be deemed to be scheduled maintenance (the “"Scheduled Maintenance”"). For the avoidance of doubt, any Scheduled Maintenance shall not relieve the MDO from its obligation to excavate and process Copper Ore and tailings in accordance with the Annual Production Programme under Clause 21.2.1, and, the MDO shall be liable to pay the Damages under Clause 20.4 for any closure, suspension or reduction of Annual Capacity arising out of Scheduled Maintenance shall be deemed as Non-Availability of storage CapacityMaintenance.
