The Maximum Threshold clause sets an upper limit on a particular obligation, liability, or amount within a contract. Maximum Threshold. 150% of the product of Executive’s Personal Factor multiplied by Executive’s Annual Base Salary. The performance goals applicable to the Annual Bonus shall be based on EBITDA and determined by the Board of Directors of the Company (the “Board”) or a committee thereof in consultation with the CEO. If the Company has adopted a stretch bonus pool for the applicable fiscal year (the “Stretch Pool”) and performance exceeds the maximum threshold, 10% of the excess EBITDA shall be allocated to an executive bonus plan to be allocated by the CEO, provided that if Executive participates in the Stretch Pool, Executive’s allocations shall be subject to the approval of the Committee, in consultation with Executive.   • Threshold Neither the Seller nor the Purchaser shall be required to make any indemnification payment pursuant to Section 8.1 or 8.2, respectively, until such time as the total amount of all Damages that have been directly or indirectly suffered or incurred by an Indemnified Party, or to which an Indemnified Party has or otherwise becomes subject to, exceeds $50,000 in the aggregate. At such time as the total amount of such Damages exceeds $50,000 in the aggregate, the Indemnified Party shall be entitled to be indemnified against the full amount of such Damages (and not merely the portion of such Damages exceeding $50,000).

  • Maximum Leverage Permit, as of any fiscal quarter end, the ratio of (a) Adjusted Portfolio Equity as of such fiscal quarter end to (b) Funded Debt as of such fiscal quarter end, to be less than 5.00 to 1.00.

  • Maximum Number of Shares Under no circumstances shall the Company cause or request the offer or sale of any Shares if, after giving effect to the sale of such Shares, the aggregate amount of Shares sold pursuant to this Agreement would exceed the lesser of (A) together with all sales of Shares under this Agreement, the Maximum Amount, (B) the amount available for offer and sale under the currently effective Registration Statement and (C) the amount authorized from time to time to be issued and sold under this Agreement by the Board, a duly authorized committee thereof or a duly authorized executive committee, and notified to the Manager in writing. Further, under no circumstances shall the Company cause or permit the aggregate offering amount of Shares sold pursuant to this Agreement to exceed the Maximum Amount.
