Minimum Royalty Payments Sample Clauses

Minimum Royalty Payments. LJL agrees to pay the minimum royalty amounts set forth in EXHIBIT C attached hereto. Each minimum royalty payment is due and payable [*] after the anniversary of the Effective Date, and all royalties paid under Section 3.2 and 3.3 shall be fully creditable toward the minimum royalty amounts, on a rolling credit basis. Minimum Royalty Payments. To the extent that the aggregate, cumulative, Minimum Royalties set forth above exceeds the aggregate, cumulative Earned Royalties paid to Licensor by the end of the Contract Term or Extension Term, as applicable, Licensee shall pay Licensor such excess with the Royalty payment for the last fiscal quarter of the Contract Term or such Extension Term, as applicable, in accordance with Section 7.4

Minimum Royalty Payments. Commencing on the first January 1 to occur after the first Net Sale, and for each year thereafter, Licensee will pay to OHSU minimum annual royalty of Ten Thousand Dollars ($10,000). OHSU will credit payment of minimum royalties received against any subsequent royalty payments made by Licensee, but only for the year in which the minimum annual royalty was received.

Minimum Royalty Payments. Notwithstanding anything to the contrary contained in this Agreement, LICENSEE shall pay to LICENSOR during the Term minimum royalty payments in the amounts and at the times set forth in Item 10 of Schedule A hereto (each, a "Minimum Royalty"). The balance of royalty payments in excess of a Minimum Royalty, if any, due LICENSOR shall be paid within ++++ calendar days after the end of each Royalty Year.

Minimum Royalty Payments. 3D-ID agrees to make royalty payments of not less than $15,000 in the aggregate with respect to Net Sales of Royalty Bearing Products occurring in the Markets during the first two years after the date hereof, which payment is to be made within thirty (30) days of the end of the second contract year and royalty payments of not less than $20,000 with respect to Net Sales of Royalty Bearing Products occurring in the Markets in each contract year thereafter. If 3D-ID does not make the minimum payments within thirty (30) days of the end of any contract year beginning in the second contract year, the exclusive license granted under Section 1 with respect to the Markets shall automatically become non-exclusive in nature.

Minimum Royalty Payments. Royalty credits available to P&U in accordance with this Agreement or any other legally binding agreement between the parties shall not reduce the royalty amounts otherwise then due to Geron by more than [*]. Unused credits may be carried over into subsequent royalty periods.

Minimum Royalty Payments. The Licensee agrees to make royalty payments of not less than $300,000 in the aggregate with respect to Net Sales occurring during the first three years after the date hereof and royalty payments of not less than $150,000 with respect to Net Sales occurring in each year thereafter, provided that if Licensee has not sold sufficient quantities of Royalty Bearing Products to generate such minimum royalty payments Licensee may nevertheless make royalty payments in excess of the amounts that would otherwise be required to be paid in order to achieve such minimum royalty payments. In the event that the Licensee fails to make such minimum royalty payments, the Licensor shall be entitled, upon not less than 30 days written notice from Licensor to Licensee, to terminate the exclusive nature of the rights granted hereunder, and, in the event that such failure is as a consequence of a default by the Licensee in the payment of royalty payments required to be made hereunder the Licensor shall, in addition, have the right to terminate this Agreement in accordance with the provisions of Section 4.3 hereof.

Minimum Royalty Payments. Commencing with the 1998 License Agreement Year and extending for the remainder of the term of this Agreement, in order to maintain this Agreement in full force and effect Kos shall pay USL an annual minimum royalty (the "Minimum Royalty") in the aggregate amount of *** **********************************************. In the event that during any such year the aggregate amount of royalty payments payable by Kos under Section 3.2 are less than the Minimum Royalty, Kos shall pay USL the difference between such royalty payments and the Minimum Royalty at the same time Kos pays the royalties payable by Kos for the License Quarter ending on December 31 of such year.

Minimum Royalty Payments. Minimum Royalty Payments will be paid on the inventions within rates already defined. If new IP is developed and applied to the inventions then the Minimum Royalty Payment will be adjusted according to the table below. The Minimum Royalty Payments will not be additive, the highest Minimum Royalty Payment for a particular year shall be paid and the Minimum Royalty Payment will continue until the last patent expires. Minimum Royalty Payments shall cease to be paid upon the first commercial sale of Invention, only if royalties from commercial sales exceed Minimum Royalty Payments.
