Missing Document Report. In addition to the Monthly Report, Servicer shall provide to Owner a report (the "Missing Document Report") with respect to a Loan within forty-five (45) days after -the related Transfer Date, which Missing Document Report shall include a listing (to Servicer's current, actual knowledge) with respect to each Loan and REO Property of all missing documents reasonably necessary to service such Loan or REO Property. For the purposes of this Section 6.5, the phrase "to Servicer's current, actual knowledge" shall mean that Servicer shall be responsible for examining the Servicing File presented to Servicer by Owner or the Current Servicer and verifying that each such Servicing File contains Loan Documents customary for the type of Loan; Servicer shall have no responsibility for determining whether there are particular missing documents if the documents presented to Servicer do not disclose the existence of such missing document. Owner shall cure, or shall cause the Current Servicer to cure, any such deficiencies as soon as reasonably possible following receipt of the Missing Document Report. After Servicer has delivered to Owner the notice referred to in this Section 6.5, regarding missing documents, Servicer shall not be responsible for any failure to perform any action related to such Loan to the extent Servicer is impaired by the absence of such material document(s). Moreover, if Owner has not cured any document deficiency within 30 days following receipt of the Missing Document Report, and such document is reasonably necessary to service such Loan or REO Property, then Servicer may, but is not obligated to, cure such deficiency. All out-of-pocket expenses incurred by Servicer in connection with such cure shall be billed to, and paid by, Owner pursuant to Section 6.4.
Missing Document Report. Owner shall cause the Custodian to provide to Servicer a report (the "Missing Document Report") with respect to a Mortgage Loan within forty-five (45) days after the related Transfer Date, which Missing Document Report shall include a listing with respect to each Loan and REO Property of all missing documents reasonably necessary to service such Loan or REO Property. To the extent Servicer becomes aware of missing documents that it needs in connection with servicing a Loan or REO Property, which documents are not already listed in the Missing Document Report, Servicer shall notify Owner of same. Owner shall cure, or shall cause the Prior Servicer to cure, any such deficiencies as soon as reasonably possible following receipt of the Missing Document Report. Servicer shall not be responsible for any failure to perform any action related to such Loan to the extent Servicer is impaired by the absence of such document(s). Moreover, if Owner has not cured any document deficiency within 30 days following receipt of the Missing Document Report or subsequent notification by Servicer of missing documents, and such document is reasonably necessary to service such Loan or REO Property, then Servicer may, but is not obligated to, cure such deficiency. All out-of-pocket expenses, including those paid to third parties engaged by Servicer in connection with curing any deficiency, incurred by the Servicer in connection with such cure shall constitute Servicing Advances.
Missing Document Report. In addition to the Monthly Report, ----------------------- the Servicer shall provide to Owner a report with respect to a Loan within thirty (30) days after a loan is first boarded, which report shall include a listing with respect to each Loan and REO Property of all missing documents reasonably necessary to service such Loan. Owner will cure any such deficiencies within seven (7) calendar days after Owner's receipt of such report.

  • Closing Documentation The Parent shall have received the --------------------- following documents, agreements and instruments from the Company: (i) an opinion of ▇▇▇▇ ▇▇▇▇ ▇▇▇▇ & Freidenrich LLP, dated the Closing Date and addressed to the Parent and Newco, in substantially the form of Exhibit F hereto; --------- (ii) certificates dated as of a recent date from the Secretary of State of the States of Delaware and any other applicable states to the effect that each of the Company and its Subsidiaries is duly incorporated and in good standing in such state and stating that the Company and its Subsidiaries owes no franchise taxes in such state and listing all documents of the Company and its Subsidiaries on file with said Secretary of State; (iii) a copy of the Certificate of Incorporation of the Company, including all amendments thereto, certified as of a recent date by the Secretary of State of the State of Delaware; (iv) evidence, reasonably satisfactory to the Parent, of the authority and incumbency of the persons acting on behalf of the Company in connection with the execution of any document delivered in connection with this Agreement; (v) Uniform Commercial Code Search Reports on Form UCC-11 with respect to the Company and its Subsidiaries from the states and local jurisdictions where the principal place of business of the Company and its Subsidiaries and their respective assets are located, the search reports of which shall confirm compliance with Section 3.15 (and Schedule thereto) of this Agreement; (vi) the corporate minute books and stock record books of the Company and its Subsidiaries; (vii) estoppel letters of lenders to the Company, in form and substance reasonably satisfactory to the Parent, with respect to amounts (including any pre-payment penalties) owing by the Company as of the Closing; and (viii) such other instruments and documents as the Parent shall reasonably request not inconsistent with the provisions hereof.

  • Representation Certificate The Agent shall have received the certificate required to be delivered pursuant to Section 7(l) on or before the date on which delivery of such certificate is required pursuant to Section 7(l).

  • Financial Condition Certificate The Administrative Agent shall have received a certificate or certificates executed by a Responsible Officer of the Borrower as of the Closing Date, as to certain financial matters, substantially in the form of Exhibit P.

  • Reference Information Documents 1.7.1 TxDOT has provided and disclosed the Reference Information Documents to DB Contractor. Except as provided in Section 1.2.3: (a) the Reference Information Documents are not mandatory or binding on DB Contractor, and (b) DB Contractor is not entitled to rely on the Reference Information Documents as presenting a design, engineering, operating or maintenance solutions or other direction, means or methods for complying with the requirements of the Contract Documents, Governmental Approvals or Law. 1.7.2 TxDOT shall not be responsible or liable in any respect for any causes of action, claims or Losses whatsoever suffered by any DB Contractor-Related Entity by reason of any use of information contained in, or any action or forbearance in reliance on, the Reference Information Documents, except any schedule or monetary relief available hereunder as set forth in Section 13 of this Agreement. 1.7.3 Except as provided in Section 1.2.3, TxDOT does not represent or warrant that the information contained in the Reference Information Documents is complete or accurate or that such information is in conformity with the requirements of the Contract Documents, Governmental Approvals or Laws. DB Contractor shall have no right to additional compensation or time extension based on any incompleteness or inaccuracy in the Reference Information Documents.
