Net Settlement Amount. If the Non-Defaulting Party establishes an Early Termination Date, then the Non-Defaulting Party shall calculate its Gains or Losses and Costs resulting from the termination as of the Early Termination Date, in a Commercially Reasonable Manner. The Non-Defaulting Party shall aggregate such Gains or Losses and Costs with respect to the liquidation of the termination and any other amounts due under this Agreement and any other agreement between the Parties into a single net amount expressed in U.S. dollars (the “Net Settlement Amount”). The Non-Defaulting Party shall then notify the Defaulting Party of the Net Settlement Amount. The Defaulting Party shall pay the Non-Defaulting Party the full amount of the Net Settlement Amount within five (5) Business Days of delivery to the Defaulting Party of the notice of the Net Settlement Amount that the Defaulting Party is liable for.
Net Settlement Amount. The total amount of money available for payout to Participating Class Members, which is the Gross Settlement Amount less the Attorney Fee Award, the Cost Award, the Class Representative Enhancement Payment, Administration Costs, and the PAGA Payment. In other words, the Net Settlement Amount is the portion of the Gross Settlement Amount that will be distributed to Class Members who do not request exclusion from the Settlement.
Net Settlement Amount. “Net Settlement Amount” refers to the portion of the 16 Gross Settlement Amount that remains after accounting for any Service Payment, Administrative Costs, 17 and the Class Counsel Fees.
Net Settlement Amount. The “Net Settlement Amount” or “NSA” is the amount available for Distribution to Tribal Contractors after the Reserve Account and attorneys’ fees, costs, and other expenses have been deducted from the “Settlement Amount,” as provided in Section VIII.A, below.

Net Settlement Amount. The Net Settlement Amount will be determined by the Settlement Administrator by subtracting the Class Counsel Award, Class Representatives’ Enhancement Awards, Individual and LWDA PAGA Payments, and Settlement Administrator Costs from the Total Settlement Amount. The anticipated Net Settlement Amount is $1,716,666.67. The Parties estimate the amount of the Net Settlement Amount to be calculated as follows: Total Settlement Amount: $2,800,000.00 Requested Class Rep. Enhancement Award: $30,000 ($10,000 each) Requested Class Counsel Fees: $933,333.33 Requested Class Counsel Costs: $40,000.00 Individual PAGA Payments to PAGA Settlement Group Members $12,500 LWDA PAGA Payment: $37,500.00 Settlement Administrator Costs: $30,000.00 Net Settlement Amount $1,716,666.67 This is a non-reversionary Settlement in which Defendants will pay the entire Total Settlement Amount. No portion of the Total Settlement Amount will revert to Defendants. The employers’ share of payroll taxes and other required withholdings from Individual Settlement Payments, including but not limited to FICA and FUTA contributions, if applicable, shall be paid separately from, and in addition to, the Total Settlement Amount. Any award of less than the amounts requested for enhancements, administrative costs, litigation costs, or attorneys’ fees will be returned to the Net Settlement Amount and distributed to the Settlement Class.

Net Settlement Amount. The Net Settlement Amount shall be used to make the Individual Settlement Payments. Defendant shall not oppose any request submitted by Plaintiff’s Counsel or Named Plaintiff for payment or reimbursement of the maximum amounts set forth in this Agreement for Class Counsel’s Attorney’s Fees and Costs, the fees of the Settlement Administrator, the Class Representative Service and Release Award and the payment to the LWDA, as discussed in the definition of “Net Settlement Amount” in Section I of this Agreement. If the Court in its discretion awards less than the maximum amounts of such payments as set forth in this Agreement, including, but not limited to, for Attorneys’ Fees and Costs and/or the Class Representative Service and Release Award, the lower award amount will not reduce or impact the enforceability of this Agreement in any way and the unawarded portions shall be included in the Net Settlement Amount. Defendant estimates that the Settlement Class Members worked a total of approximately 4,669 Workweeks from the start of the Class Period through and including July 31, 2020. Should the Class List, upon delivery to the Settlement Administrator, include more than a ten percent (10%) increase in the total number of Workweeks worked by Settlement Class Members from the start of the Class Period through and including July 31, 2020 (e.g., more than 10% greater than 4,669 Workweeks worked by Settlement Class Members as of and including July 31, 2020, for a total of 5,136 or more Workweeks worked by Settlement Class Members as of and including July 31, 2020), then there shall be a pro rata adjustment to the Gross Settlement Amount, which shall automatically increase by the same percentage that the actual Workweeks worked by Settlement Class Members from the start of the Class Period through and including July 31, 2020 exceeds 5,136.
Net Settlement Amount. The Net Settlement Amount will be the remaining balance of the Gross Settlement Amount, after payment of the Attorneys’ Fees and Costs, Incentive Award, the PAGA Settlement Amount, Employer Taxes, and the Settlement Administration Costs. The remaining balance, representing the Net Settlement Amount, is inclusive of any and all employee’s share of payroll taxes and withholdings (if any) on the wages portion of Individual Settlement Shares. The entire Net Settlement Amount will be distributed to Participating Class Members (net of applicable taxes on the wages portion of Individual Settlement Shares) by the Settlement Administrator. No portion of the Net Settlement Fund will revert to or be retained by Defendant.
