The "No capacity" clause establishes that a party is not acting as an agent, representative, or in any other capacity on behalf of another party within the agreement. In practice, this means that each party enters into the contract solely on its own behalf and does not have the authority to bind or make commitments for the other party. This clause is essential for clarifying the independent status of each party and preventing misunderstandings or disputes about implied authority or representation.
No capacity. Without limiting clause 5.2(b) or clause 5.6, Viterra may decline to receive Bulk Wheat for storage on behalf of the Client at a Port Terminal Facility if: (a) the export storage capacity allocated to a particular Binned Grade at that Port Terminal Facility is already full; and (b) Viterra is unable to make additional space available for that Binned Grade by either movement of the Bulk Wheat to another Viterra Facility or by Outturn of the Bulk Wheat.
