Common use of No Interest in Land Clause in Contracts

No Interest in Land. (a) Project Co acknowledges and agrees that, subject to the provisions of the Construction Act, in accordance with the principles of the IPFP Framework, none of Project Co, the Project Co Parties or the Lenders shall acquire any estate, right, title or ownership interest in the Site or the Facility or any other interest in the Lands (including the Existing Facilities) pursuant to this Project Agreement, the Project Documents or otherwise. Notwithstanding any provision herein or in any of the Project Documents to the contrary, all fee simple interests in and freehold title to the Site, the Facility and all other portions of the Lands shall at all times remain unencumbered by any interest of Project Co, the Project Co Parties and the Lenders. Project Co, the Project Co Parties and the Lenders shall have access to the Site (including the Existing Facilities) and the Facility under and subject to the licence and access rights granted under this Section 16 and the Lenders’ Direct Agreement, respectively.

Notwithstanding any provision herein or in any of the Project Documents to the contrary, all fee simple interests interest in and freehold title to the SiteLands, or any part thereof, and the Facility and all other portions of the Lands Project, shall at all times remain unencumbered by any interest of Project Co, the Project Co Parties and or the Lenders. Project Co, the Project Co Parties and the Lenders shall have access to the Site (including the Existing Facilities) Lands and the Facility Expansion Infrastructure under and subject to the licence licences and access rights granted under this Section 16 and the Lenders’ Direct Agreement, respectively.
