No Obligation to Net Cash Settle Clause Samples

The "No Obligation to Net Cash Settle" clause establishes that neither party is required to settle their obligations by making a net cash payment, unless otherwise agreed. In practice, this means that if a contract involves the exchange of assets, securities, or other forms of settlement, the parties cannot demand a cash payment to offset or net out their respective obligations. For example, in a derivatives contract, if one party owes securities and the other owes cash, this clause prevents the parties from simply netting the amounts and settling the difference in cash. The core function of this clause is to ensure that settlements occur in the originally agreed-upon form, thereby preventing disputes over payment methods and maintaining the intended structure of the transaction.
