Notice of Actions and Proceedings. From and after the date hereof until the Closing Date, Sellers shall promptly notify Buyer of any written notice received by Sellers with respect to Actions commenced or, to its knowledge, threatened, involving or affecting Sellers or the Business or which could have a Material Adverse Effect.
