Notice of intent to use. Prior to entering into any Service Bureau Agreement with a new customer or the addition of a new application to the service provided to an existing customer which includes the provision of services that will utilize the Licensed Program Property, You will notify Epic, in a manner to be agreed to by Epic and You, of the name and address of the customer, the Items of Licensed Program Property to be utilized in providing the services to the customer, and the anticipated volume levels for each Item of Licensed Program Property. You will not finalize any such new or expanded agreement without the written consent of Epic. Epic shall withhold such consent if You are in Material Breach of this Agreement or are more than sixty (60) days past due in the payment of any amounts due to Epic pursuant to this Agreement. [*].
