Obligations of Operator. The Operator must, and must procure its Authorised Drivers to, at all times:
(a) Comply with the provisions of all statutes, ordinances, regulations and by-laws relating to the use of the Transport Area and the Authorised Services, and in particular, but without limitation, the HSW Act and the Land Transport Rule: Operator Licensing 2017.
(b) Comply with all Rules.
(c) Obtain and keep current all relevant consents and permits required for the use of the Transport Area for Authorised Services from all relevant Authorities.
(d) Comply with the provisions of all consents, requisitions and notices issued by any Authority for the Transport Area or their use by the Operator.
(e) Assist the Owner upon the Owner's request in any dealing with any Authorised Drivers and liaise closely with the Owner to ensure that all Authorised Drivers adhere at all times to this Agreement, the Rules and all other applicable laws, rules and regulations.
(f) Ensure its Authorised Drivers adhere at all times to this Agreement, the Rules and all other applicable laws, rules and regulations.
(g) Provide such reasonable required assistance and information to the Owner within a reasonable time of the Owner's request to ensure the Operator is complying with the terms of this Agreement.
Obligations of Operator. In the performance of its service at the Airport, the OPERATOR will maintain a high degree and standard of professionalism. In particular, the OPERATOR will comply strictly with the following conditions and requirements:
Obligations of Operator. 3.1 After the Operator Management Date, Operator shall, from time to time on a timely basis:
(A) during the Term hereof, be the contracting operator to TG, of all Internet & Wireless lottery products and services, including without limitation, equipment, hardware, software, telephone system support, design and marketing, required in the conduct of the Lottery or other games of chance conducted directly or indirectly by and on behalf of TG in such quantities and at such times as Operator in its sole discretion, shall determine.
(B) maintain the systems software and hardware that will provide ongoing sales service support and management reporting requirements;
(C) maintain a high level of security and technical expertise in all of the services provided
(D) supply staffing and working capital from time to time in such amounts as may be determined by Operator in its sole discretion to be necessary for the conduct of the Internet/Wireless Games and Operations.
(E) staff operations and offices, supply back-up office systems, including computer hardware and software, necessary for the conduct of the Lottery, including systems for validation, Lottery allocation and participation, payment systems, game accounting and distribution ;
(F) design all of the Games for implementation as part of the Internet & Wireless Lottery, including the prize structures, rules and regulations of the games and/or draws related thereto;
(G) provide reasonable support, as such may be determined in the sole discretion of Operator, for the marketing and sales of the Lottery;
(H) design and implement advertising and promotional programs for the Lottery to the extent deemed appropriate by Operator;
(I) generally provide the TG with the benefit of its expertise relating to the establishment, operation and management of Lottery Games;
(J) license all patents and/or copyright material necessary for the conduct of the Lottery and Games, which licenses shall be in effect for the duration of the Term;
(K) provide to TG quarterly interim unaudited statements of accounts in respect of the operation of the Lottery Games and Operations, within ninety (90) days from the end of each calendar, and an annual statement of accounts audited by a recognized auditing firm; and
(L) disperse prizes relating to the Lottery and Operations Games in a timely and reasonable manner, subject to compliance with security procedures and operational policies.

Obligations of Operator. 5.1. Operator covenants and agrees to perform and carry out the following, in the name and for the account of Owner, and subject to Section 3.4:
(a) To keep the Hotel Unit (at all times during the Term), and the Association Property, Common Elements and Limited Common Elements of the Condominium, as such terms are defined in the Declaration (but only for so long as Operator shall also be the manager of the Condominium Association), insured against damage or loss by fire, flood and casualties covered by the broad form, comprehensive perils (all risk subject to standard exclusions and limitations) on a replacement cost basis, in an amount equal to at least the full replacement value thereof (less any customary "deductible" amount), and to deliver certificates of such insurance to Owner and the Condominium Association (if applicable) promptly upon obtaining such insurance. Such policies and all other policies obtained by Operator pursuant to this Agreement shall be written to insure Owner and Operator, and (if applicable) the Condominium Association and Condominium Unit Owners, and such other parties as Owner may reasonably request, as their respective interests may appear; the proceeds thereof shall be payable in case of loss to Owner's mortgagee(s) or a commercial bank trustee and shall be released in accordance with the provisions of ARTICLE VIII. To the extent that Operator is not the manager of the Condominium Association, Operator shall, if requested by Owner, use reasonable diligence (recognizing that Operator may not have the legal authority to influence the Condominium Association's decisions) in causing the Condominium Association to obtain the coverages described herein on behalf of the Association.
(b) To maintain a policy or policies of comprehensive general liability insurance, including primary and umbrella layers of coverage, indemnifying Owner and Operator against all claims and demands (less any customary "deductible" amounts), for any personal injuries to, or death of, any person(s) and for damage to or destruction or loss of property, which may have (or be claimed to have) occurred in, on or in connection with the operation of the Hotel, in amounts not less than Twenty-Five Million Dollars ($25,000,000.00) for injury to or death of one person and Twenty-Five Million Dollars ($25,000,000.00) for injury to or death of more than one person in any single occurrence, and for not less than Five Million Dollars ($5,000,000.00) for damage to or de...
Obligations of Operator. In the performance of its service at the Airport, the Operator will maintain a high degree and standard of professionalism. In particular, the Operator will comply strictly with the following conditions and requirements:
A. Operate and manage the Premises in accordance with the highest standards and practices of the commercial parking industry;
B. Train all employees under the Minot International Airport contract in the proper customer service techniques and the financial management policies and procedures to comply with the contract terms;
C. Conduct its operations in an orderly, and courteous manner, so as not to annoy, disturb, or offend customers, patrons, employees or tenants of the Airport. On-site Employees shall wear clean uniforms as approved by the City at all times when on duty and call center employees must have their name and logo visible;
D. Provide and maintain sufficient materials, supplies, merchandise, and equipment to ensure a timely high standard of parking service and to avoid all disruptions to customers within the reasonable control of the Operator;
E. Provide custodial services and disposal of waste/trash within the Premises, as established in the Agreement to a location determined by the Airport.
F. Pay all taxes assessed against Operator owned furnishings, equipment, earnings, personal property, or stock of merchandise and supplies.
G. Pay for all permits, licenses, or other authorizations required by authority of law in connection with the operation of its business at the Airport.
H. Pay all revenues due the City on a timely basis and in accordance with the terms and conditions of this Agreement.
I. Comply with applicable federal, state, and local laws, regulations, and ordinances, etc., including the Rules and Standards governing the use and operation of the Minot International Airport, as may be amended from time to time.
J. Keep accurate records and books of account on site, or available within twenty- four (24) hours’ upon notice, in accordance with Generally Accepted Accounting Principles (GAAP Basis) in order to submit monthly reports as established by the Agreement.
K. Provide insurance as required in Section 21.
L. Comply with all appropriate codes, regulations, and ordinances of the City of Minot and the State of North Dakota.

Obligations of Operator. 3.1 Operator's Responsibilities Operator, subject to budget authorizations and other specific authorizations by the Management Committee, shall have the general responsibility for the day-to-day management of the Line as described below:
(a) provide the day-to-day management supervision and operating, maintenance, administrative and related services to Partnership, including legal, accounting, procurement, emergency response, repair and overhaul, integrity management, replacement of plant, construction supervision, engineering, planning, budgeting, treasury, insurance administration, tax, industry relations, day-to-day public affairs and human resource support and support for general regulatory matters;
(b) make reports to and consult with the Management Committee or Partner in the form and at the times requested by the Management Committee or any Partner or its designated representatives;
(c) carry out any activities related to the marketing and administration of transportation or other services on the Line, including the discounting of such services from tariff rates;
(d) except as otherwise provided by applicable governmental regulations, retain all charts, records, books of account, Partnership tax returns, plans, designs, studies and reports and other documents related to the design, construction, operation, maintenance, repair, extension, expansion, addition, improvement or replacement of the Line, or any part thereof, for a period of at least three (3) years from the date of completion of the activity to which such records relate;
(e) purchase materials, equipment and supplies in the name of the Partnership necessary for the design, construction, operation, maintenance, repair, extension, expansion, addition, improvement or replacement of the Line, or any part thereof, and sell or exchange such materials, equipment and supplies. Operator may purchase such materials, equipment and supplies on a cooperative basis with Operator's Affiliates or from Operator's Affiliates, provided that the terms of such purchase are no less favourable to Partnership than those prevailing at the time for similar materials, equipment and supplies from unaffiliated third parties;
(f) manage any construction of repairs, extensions, additions, improvements or replacements of the Line, or any part thereof, as approved by the Management Committee, including retaining any contractors required for the design, project management and construction of such project;

Obligations of Operator. 4.1 Operator shall notify Manager of any restriction to the use or disclosure of Protected Health Information to which Operator has agreed in accordance with 45 CFR § 164.522.
4.2 Operator shall not request Manager to use or disclose Protected Health Information in any manner that would not be permissible under the Privacy Rule if done by Operator.

Obligations of Operator. 6.1 Operator shall be responsible for all labor and staffing requirements necessary to operate the Premises in a first-class manner, ensuring that lawful, prompt, courteous and efficient service is provided to all users thereof. These requirements are more fully set forth in Article 7, which is incorporated into this Section 6.1 by reference.
6.2 Except as otherwise specifically provided herein, Operator shall pay all expenses incurred in the operation of the Premises from its own operating funds.
6.3 Operator shall conduct its operation in such a manner as to provide a high level of service, twenty-four (24) hours per day, seven (7) days per week including holidays.
6.4 Operator shall operate the revenue control system provided by the District on the Premises and shall make adjustments as are necessary to ensure the continuous and efficient operation of the revenue control system in a wholly lawful manner, including the following:
(a) Adjustment of ticket dispensers
(b) Replacement of gate arms
(c) Loading tickets into dispensers
(d) Clearing ticket jams Any other adjustments that Operator deems needed to the revenue control system shall not be made without the prior written consent of the District.
6.5 Operator shall provide one or more motor vehicles and other equipment required in performance of services required hereunder. Said motor vehicles and equipment shall be titled in the name of Operator. These vehicles and equipment will be covered under one or more insurance policies maintained and paid for by Operator. Operator shall operate and maintain its motor vehicles and equipment in a safe and lawful manner, allowing vehicles to be driven and equipment to be operated only by duly licensed drivers and operators.
6.6 Operator shall provide consecutively numbered printed parking tickets for the ticket issuing machines, of a high-quality which is compatible with the ticket issuing equipment and approved by District. Operator shall be responsible for accounting to the District for every parking ticket and the fees and charges owed to the District with respect thereto.
6.7 Operator shall at all times maintain and repair the revenue control equipment, computer and related equipment, gate arms, gate operators, ticket splitters, radios, and other extras and equipment utilized in performing its services hereunder.
